Gunderson Dettmer is seeking a junior associate to join our expanding Fund Formation group in our Boston office. While prior experience in investment funds is beneficial, the group is equally interested in candidates practicing in other areas who are interested in pivoting into fund formation.

Our fund formation team works with venture capital, growth equity, and other investment funds across the U.S. and internationally. Associates play an active and key role in supporting clients through all stages of the fund lifecycle, from initial structuring through final closing, while gaining meaningful experience in fund governance, regulatory matters, and investor relations.

You will collaborate closely with attorneys and clients on a range of transactions, gaining exposure to the broader startup and venture capital ecosystem that Gunderson serves.

Job Responsibilities:
Assisting in the formation, structuring, and operation of venture capital, growth equity, and other private investment funds. This role involves advising our fund clients, funds in all stages of their operations, including preparing offering materials; drafting partnership, limited liability company, and other governing agreements; processing investor subscription documents; negotiating with investors; and drafting side letters.

Working closely with partners and senior attorneys to advise clients on governance, regulatory compliance, and investor relations matters. Advising clients on general fund operations, including conflicts of interest; compliance matters; employment, consulting, and commercial relationships; the admission of new members to general partner and management company entities; separation agreements; and fund, general partner, and management company loans.

Job Requirements:
  • JD 2023, 2024 or 2025 from an accredited law school and active membership (in good standing) with the Massachusetts Bar, or eligibility to waive in.
  • Prior law firm or in-house legal experience is preferred but not required. Exceptional recent graduates will be considered.
  • Prior fund formation experience is not required; an interest in the venture capital industry is essential.
  • Strong academic credentials, solid analytical and writing skills, and the ability to manage multiple projects effectively.

  • Intellectual curiosity, collaborative spirit, and a desire to develop expertise in venture capital fund formation work.

Salary Range:
$225,000-$260,000
