Key Responsibilities:
- With minimal oversight, coordinate internal and manage external counsel due diligence reviews; perform due diligence of potential targets; prepare and present presentations regarding findings
- With minimal oversight, provide legal analysis and advice regarding deal structure
- With minimal oversight, draft and negotiate various deal documents
- With minimal oversight, assist in and advise on the preparation and structuring of divestitures
- Lead deal team integration function and coordinate function-specific law department integration teams
- Develop, implement and improve playbooks, processes and training programs
Functional Knowledge
- J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction required
- Recognized as “guru” or external expert in a function
- Demonstrates broad and comprehensive expertise in leading-edge theories, techniques and/or technologies within own field
