Key Responsibilities:
  • With minimal oversight, coordinate internal and manage external counsel due diligence reviews; perform due diligence of potential targets; prepare and present presentations regarding findings
  • With minimal oversight, provide legal analysis and advice regarding deal structure
  • With minimal oversight, draft and negotiate various deal documents
  • With minimal oversight, assist in and advise on the preparation and structuring of divestitures
  • Lead deal team integration function and coordinate function-specific law department integration teams
  • Develop, implement and improve playbooks, processes and training programs

Functional Knowledge
  • J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction required
  • Recognized as “guru” or external expert in a function
  • Demonstrates broad and comprehensive expertise in leading-edge theories, techniques and/or technologies within own field

Business Expertise
Influences internal/external business and/or regulatory issues that have an impact on the business

Leadership:
Leads highly visible multidisciplinary project teams or initiatives; provides thought leadership
