- Own and manage public company securities compliance, including Forms 10-K, 10-Q, 8-K, and Section 16 filings
- Lead earnings-related disclosures and coordinate investor communications with investor relations
- Review and advise on investor-facing and marketing materials, including investor presentations, press releases, and website disclosures
- Serve as the primary in-house point of contact for outside securities counsel
- Manage disclosure calendars, SEC comment tracking, and filing timelines
- Partner closely with finance, accounting, investor relations, and communications teams on disclosure matters
- Support board and committee governance matters, including preparation of materials and minutes
- Monitor and implement evolving SEC rules, guidance, and best practices
- Support transaction-related securities matters, including SPAC lifecycle events
- Coordinate sanctions screening and OFAC-related checks, in partnership with finance and outside counsel, in connection with investors, transactions, and other counterparties
- Support IPO readiness and public company onboarding activities
- Coordinate shareholder services and transfer agent onboarding
- Partner with finance and external advisors on close-phase execution and readiness planning
- Help stand up scalable disclosure, reporting, and governance processes ahead of and following IPO close
Required Skills:
- JD from an accredited law school
- 6–10+ years of experience in public company securities law
- Large law firm (Am Law 100) and/or senior in-house public company experience
- Deep familiarity with Exchange Act reporting and disclosure controls
- Experience reviewing investor and marketing materials
- Strong judgment, attention to detail, and ability to independently own complex workstreams
- Must have an active, good-standing license with the State Bar of California
