About the Job:
As part of the Quality Assurance & Compliance team, the Director of Contract Administration & Legal Analysis will oversee the contract administration division, responsible for contract and grant review, analysis, development, execution, tracking, and maintenance. The Director ensures that contract terms are consistent with A Non-Profit Organization's contracting strategy and are negotiated within legal and financial guidelines established by A Non-Profit Organization and its government entities. Utilizing legal expertise, the Director will identify, track, mitigate, and resolve risks and issues regarding A Non-Profit Organization contracts from awarding and partnering entities and negotiate on behalf of A Non-Profit Organization.

Position Responsibilities include:
  • Establish long-term contractual goals, strategies, policies, and plans. Develop concrete compliance driven, forward-thinking contracts, grants, and procurement arrangements, systems, processes, and outcomes.
  • Provide strategic support to lead the Contracts Administration Division. Design, develop, and support the implementation, and monitoring of the contracts team, policies, programs, processes, and systems.
  • Develop strategic guidelines including data analysis, tracking metrics, providing input on milestones, and implementing strategies that support efficiency and effectiveness.
  • Collaborate and work cross functionally to improve processes throughout the organization in partnership with Division and Department leaders.
  • Draft, review, and negotiate contracts with funders and third parties (including subcontracts, professional services agreements, MOUs, supportive service agreements, vendor and consultant agreements) and evaluate third party agreement templates against A Non-Profit Organization and funding entity standards.
  • Provide practical advice and guidance to internal stakeholders and develop solutions to issues while effectively managing legal and practical business considerations.
  • Advise leadership of the key legal risks of the proposed project or contract, including the legal and regulatory issues that need to be addressed early in the process of contracting.
  • Coordinate with cross-functional teams and Corporate Compliance colleagues to provide a comprehensive risk assessment and risk management. Identify and assess potential contractual and legal risks, develop mitigation strategies, and implement risk management measures to safeguard the A Non-Profit Organization's interests.
  • When considering items with implications beyond the Contracts Division, consult with legal counsel internally or retained counsel to explain the objective of the activity, the data or personnel that will be impacted, how risks will be mitigated and managed; and addressing any remaining issues with the stakeholders.
  • Interpret and explain contract terms and conditions for internal stakeholders.
  • Confirm that contracts are compliant with A Non-Profit Organization policies and maintain an understanding of the impact of any changes in A Non-Profit Organization's policies, organizational structure, and procedures.
  • Contractually protect A Non-Profit Organization's intellectual property to prevent loss/infringement by third parties.
  • Lead negotiation and issue resolution of major contracts, subcontracts, and procurement agreements, when needed.
  • Responsible for ensuring compliance with all laws, regulations and other applicable obligations are observed on behalf of A Non-Profit Organization.
  • Inform Senior Leadership on the implications of contracting issues, contracts and subcontracts ethics and compliance matters, and develop, present, and monitor training programs to communicate those matters to staff.
  • Monitor legislative and regulatory developments impacting contracting and inform Senior Leadership on potential ramifications and necessary changes.
  • Ensure quality service and support to A Non-Profit Organization's external partners, as well as internal programs/divisions and departments (Services, IT, Finance, HR, Operations, Procurement and others). Stay informed of PAHT's business objectives by attending meetings, project reviews, and other workgroups to best understand contracting needs.
  • Effectively managing workflow, including multiple projects, in a proactive and highly responsive manner
  • Settle disputes regarding contract interpretation, conditions, or compliance with legal requirements.

Preferred Qualifications:
  • Prior legal experience in government and/or regulatory environment
  • Experience in operational and contract matters
  • Experience leading and managing a team of contract professionals
  • Experience with social services or homeless services funding regulations, requirements, and procedures and Federal, State, and local funding for service delivery
  • Experience with negotiating and or drafting contract types, including professional service agreement, consultant agreements, vendor agreements, subcontract vs. sub-recipient, cost reimbursement vs. fixed price vs., budgets and cost allocations such as indirect, other overhead, margin, and other pricing considerations for both funding agreements/proposals and procurement activities
  • Experience implementing and utilizing technology tools that automate the creation and review of contracts. Experience with AI based Contract review.
  • Strong negotiation and drafting skills with a focus on attention to detail.
  • In-depth knowledge of relevant laws and regulations.
  • Comprehensive and up-to-date knowledge of government grants and contracts management AND procurement processes and procedures, including the FAR, OMB Uniform Guidance, and other federal agency-specific guidelines

Minimum Qualifications:
  • Juris Doctor degree and active bar membership
  • Licensed to practice law and in good standing in all jurisdictions licensed to practice)-Required
  • At least seven (7) years of experience in administrative and contract law reviewing, drafting, and negotiating complex government and non-profit agreements
