Description:

The Director, Legal and Regulatory Affairs will support the Legal Department's mission by providing specialized legal services, with an emphasis on regulatory, intercompany, and reinsurance matters, to internal clients in a collaborative manner and to assist the General Counsel and Associate General Counsel in directing and coordinating the activities of the Legal Department. It is strongly preferred that this individual be based in our Boston, MA office.

The purpose of this position is to actively support a dynamic, growing business by providing guidance and advice on a variety of matters ranging from general corporate and commercial issues to technical and specialist regulatory and intercompany matters. This position is responsible for regulatory review and monitoring, filings, board material preparation, contracting in the areas of intercompany agreements and reinsurance, and exercising excellent business judgment in interactions with the business and regulators.

Essential Duties & Responsibilities:
  • Collaborate with members of the Legal Department to develop and further efforts to create a partnership with the business, including with department leadership on strategic planning. Perform comprehensive research and analysis of case law and statutory and regulatory information on general corporate and insurance issues.
  • Provide high-quality and efficient oral and written legal advice to internal clients.
  • Interview, hire, train and supervise regulatory counsel, and provide informal mentoring and training to members of the legal team, product development, compliance, corporate finance and others where needed to ensure greater understanding of background, context and requirements in the area of regulatory requirements, reviews, responses and filings.
  • Recommend business-focused and practical courses of action to achieve client goals in a compliant, legal and ethical manner.
  • Draft, review and negotiate legal documents, providing advice on a full spectrum of contractual and transactional matters, including policy forms and reinsurance contracts, intercompany agreements, as well as primary responsibility for regulatory applications and filings.
  • Monitor and maintain current knowledge of industry trends and best practices and provide advice regarding implications of changes in laws substantially impacting the business and the industry.
  • Support general corporate needs, including strategic, structural and transactional responsibilities such as governance for subsidiaries, regulatory matters across the enterprise, guidance during acquisition(s), and post-acquisition legal and regulatory activities.
  • Work collaboratively with and support A Medical Liability Insurance & Solutions Company' Compliance Department and corporate governance functions in order to achieve consistency in legal, compliance, and corporate governance operations for all A Medical Liability Insurance & Solutions Company entities.
  • Perform special projects and other duties as assigned.

Education, Requirements & Competencies
  • J.D., admitted to at least one state bar, minimum ten (10) years' experience in an insurance regulatory practice or setting.
  • Insurance regulatory background required.
  • Broad knowledge and experience in handling corporate and commercial matters, including intercompany and reinsurance matters.
  • Excellent skills in managing multiple time-sensitive tasks.
  • Demonstrated ability to learn new subject matter under tight deadlines.
  • Strong ability to independently develop, implement and complete projects.
  • Exhibit confidence in self and other and inspire and motivate others to perform well.
  • Demonstrated ability to exercise independent judgment and work effectively with a team.
  • Occasional overnight travel may be required of this position (up to 15%).
