Description:
Position Summary:The Director Fleet & Finance Counsel is responsible for providing legal advice and guidance to a variety of A Major American Low Cost Airline departments, and for supporting the strategy, preparation and negotiation of Fleet, Finance and Treasury transactions and agreements.
Essential Responsibilities:
- Manage and execute all fleet transactions, including Original Equipment Manufacturer (OEM) purchase agreements, aircraft leases, sale leaseback transactions, aircraft sales and lease returns, lease extensions and buyouts, aircraft loans, prepayments, payoffs and lien releases, and aircraft and engine sales and lease returns
- Manage and execute all debt and equity transactions, including secured financing and unsecured financings, and execution of all debt transactions and agreements (including short-term and long-term borrowings)
- Provide substantive support to the Treasury team on financings, revolving and term loan credit agreements, aircraft financings, convertible debt, and Enhanced Equipment Trust Certificates (EETCs)
- Provide substantive support to the Fleet team on aircraft and engine leases, buyouts, renovations, sale leasebacks, and restructurings
- Support large corporate transactions, as needed
- Take a significant role in the development of crewmembers to support their engagement, growth, and goal achievement
- Other duties as assigned
Minimum Experience and Qualifications:
- Law degree and admission to the Bar of a state or jurisdiction of the United States
- Seven (7) years' experience with a major law firm and/or in-house legal position
- Able to draft clear and concise legal and financial documents
- Experience with managing a full project or initiative
- Extensive experience in drafting and negotiating agreements and execution of large and small scale transactions
- Excellent written, verbal and presentation skills, and organizational skills
- Proficient in all Microsoft Office applications
- Ability to work well under limited supervision in a fast-paced environment
- Strong analytical skills
- Available for moderate overnight travel (10%)
- Must pass a pre-employment drug test
- Must be legally eligible to work in the country in which the position is located
- Authorization to work in the US is required, this position is not eligible for visa sponsorship
Preferred Experience and Qualifications:
- Admission to the New York Bar
- Knowledge of commercial airline operations and other disciplines within the airport and their respective roles
- Providing guidance on regulatory matters to senior leaders
- Familiarity with developing environmental regulations
