Description:
Position Summary:The Director, Corporate and Securities Counsel will provide legal guidance in drafting and coordinating the company's SEC filings under the Securities Act and the Exchange Act, along with related workstreams. This role will also offer assistance with legal matters related to different corporate functions, such as financial reporting, the tax and treasury department, executive compensation, HR and benefits, communications, and investor relations.
Key Responsibilities:
- Coordinating and leading all aspects of SEC filings alongside associated workstreams
- Overall responsibility for the annual proxy statement, including coordinating the shareholder proposal response process.
- Providing advice and counsel on the annual report and shareholder meeting
- Ensuring compliance with rules and regulations for publicly traded companies
- Working with the investor relations team to support governance outreach efforts
- Legal partner for the executive compensation program, equity plan administration, and administration of trading windows
- Supporting Board meetings, including as related to governance practices and policies, oversight practices, regulatory disclosures, executive compensation matters, and other public company practices
- Delivering legal counsel on external communications, spanning earnings releases, press announcements, investor presentations, marketing materials, and other disclosures.
- Providing legal support for capital markets undertakings, including debt and equity transactions
- Legal partner, providing strategic counsel to the treasury, investor relations, finance, executive compensation, human resources, and corporate communications functions
- Responding to legal requests and queries from individuals in all areas and all levels within the organization, and proactively recognizing and addressing potential legal issues as they arise
- Monitoring and remaining cognizant of impending regulations and advancements that pertain to the business interests of the organization, notably concerning corporate governance and public companies
- Running outside counsel and assigned budget
- Providing support for other legal projects, as needed
- Bachelor's degree
- Juris Doctorate
- Member in good standing of the bar of any state in the U.S.
- 5+ years of direct experience with public company and securities law, including 33 and 34 Acts, counseling public companies in capital markets transactions and on governance matters
- A combination of major law firm and in-house experience is strongly preferred
- Must be proficient with Microsoft Office, including Word, Excel, PowerPoint and document comparison tools
- Should possess a strong command of different search tools related to public company governance and executive compensation
- Strong interpersonal and partnership skills
- Strong oral and written communication skills
- Extensive understanding of the Securities Act and the Exchange Act
- Strong project and process management skills
- Must have a strong work ethic and be capable of running multiple concurrent projects within tight timeframes
- Must be meticulous and produce high-level, quality work-product
- Business sense with the ability to work cross-functionally
- Ability to maintain strict confidentiality of critical information
