Director, Assistant General Counsel – Corporate & Securities

The Impact You'll Make in this Role
As Assistant General Counsel – Corporate & Securities, you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative people around the world. Here, you will make an impact by:
  • Securities law expertise – counseling in the area of SEC rules and regulations applicable to: the 1934 Act periodic and current reporting (including disclosure committee; CEO/CFO certification processes); Section 16 and other insider trading compliance; Investor Relations (including Reg FD; earnings; investor meetings); proxy solicitation (including proxy statement; shareholder proposals; proxy advisors); annual shareholder meeting; the 1933 Act registration statements (WKSI S-3 shelf; S-4; S-8); and emerging areas such as ESG regulatory disclosures.
  • Corporate governance experience – working closely with the Corporate Secretary in corporate governance, including supporting the Board of Directors and its committees in discharging their oversight responsibilities; conducting key shareholder outreach; meeting the NYSE continued listing and governance requirements; and assisting with global legal entity management.
  • Finance and Treasury support – advising the Treasury function in all corporate finance and capital market activities, including corporate bond offerings; credit facilities; global banking arrangements; and ISDA swap transactions.
  • Corporate and securities law SME – as a subject matter expert in general corporate and federal securities laws and regulations, acting as an internal resource for our Legal Affairs colleagues in their service to enterprise-wide business and functional groups.

Your Skills and Expertise

To set you up for success in this role from day one, An American Multinational Conglomerate Corporation requires (at a minimum) the following qualifications:
  • Juris Doctor degree (completed and verified prior to start) from an accredited law school and member of a United States bar in good standing;
  • Ten (10) years of securities law practice in a corporate in-house or law firm environment, with a thorough understanding of federal securities laws as applied to a complex multi-industry setting in a private, public, government or military environment
  • Five (5) years of corporate secretary or assistant corporate secretary responsibilities at a sophisticated public company.

Additional qualifications that could help you succeed even further in this role include:

  • Proven ability to work collaboratively across multiple corporate functions (e.g., Treasury, Finance, External Reporting, Tax, IR, Audit, Environmental Stewardship, Communications) while building strong personal relationships with a variety of stakeholders and inspiring trust in them;
  • Excellent judgment with capacity to give solid advice while demonstrating an understanding of business considerations and relevant risks;
  • Strong communication skills with the ability to explain complex legal issues to non-lawyers;
  • Demonstrated capacity to operate and thrive in a fast-paced environment;
  • Solid project management skills and excellent writing ability, including experience in developing training materials, tools, and resources for legal and business audiences; and
  • Familiarity with and developing tools and applications in SharePoint or MS Teams or similar collaboration tools.
