Position Summary:
Primarily responsible for providing legal advice and support to the Bank on various forms of commercial and consumer lending, including commercial and industrial business loans, commercial real estate loans, and various types of specialty equipment finance loans and leases. Also has supervisory responsibilities for personnel in the Legal Department and provides legal advice and support on various other legal matters affecting the business of the company as the General Counsel may assign. The position requires physical presence in the company's headquarters building located in South Bend, Indiana.

Essential Requirements:
  • Advises and counsels sales and operations teams on all aspects of commercial lending (commercial and industrial; commercial real estate), specialty finance and leasing, and consumer lending.
  • Provides legal advice and support for all proprietary loan and lease documentation templates.
  • Advises and counsels the Bank regarding consumer and business depository agreements and disclosures, including treasury products and services offered to business clients.
  • Provides oversight and supervision of the Bank's compliance with the Community Reinvestment Act.
  • Responsible for supervision of the Community Development Manager and the paralegal staff.
  • Supports corporate governance board of director matters, including support for development of corporate policies.
  • Represents the Bank at banking trade association and peer group meetings.
  • Participates in monthly BSA/AML and Fraud Committee meetings.
  • Supports coordination and management of litigation and responses to legal process.
  • Provides advice and support for contract disputes and other pre-litigation inquiries.
  • Oversees company's response to subpoenas, garnishments, and levies.
  • Coordinates, manages, and oversees outside counsel and litigation.
  • Acts as Assistant Corporate Secretary for company and subsidiaries.
  • Supports the CFO and Accounting Department with ensuring timely and proper SEC filings.
  • Keeps informed of legal and industry-specific legal and regulatory changes to help ensure appropriate policies, procedures and risk management strategies are in place.
  • Responsible for the completion of all compliance training assigned pursuant to the Bank's compliance training program.
  • Must understand all applicable laws and regulations that apply to the position and comply with the requirements.

Non-Essential Functions
  • Performs legal department review and approves invoices for outside counsel.
  • Performs all other duties as assigned by the General Counsel.

Experience/Skills:
  • Minimum of eight (8) to ten (10) years' experience preferred in law firm or in-house legal department of a bank or other financial services firm.
  • Must have admission or agree to obtain admission to practice law in Indiana.
  • Deep expertise and experience with commercial lending, commercial real estate lending, equipment finance lending, and Article 9 of the Uniform Commercial Code required.
  • Knowledge and experience with SEC compliance, general contract law and negotiation, general corporate law, civil litigation and procedure, bank regulatory requirements and guidance, and employment law preferred.
  • Knowledge of legal software or systems preferred.
  • Good PC skills--proficiency in Microsoft Word and Excel essential.
  • Strong written and verbal communication skills to prepare or draft documents, contracts, working with senior management and internal staff.
  • Proficient computer skills and legal software or systems knowledge to research information on rules, regulations or laws associated with legal matters.
  • Ability to protect the confidentiality/privacy of others as appropriate, as well as of company documents and records.
  • High degree of attention to detail.

Education:
Bachelor's degree and J.D. from an ABA accredited law school required.

Travel Requirements:
Ability to travel as needed for meetings, projects, seminars, etc.
