Description:
Under the direction of the Deputy Chief Procurement Counsel, provides legal guidance on procurement contracts, supply chain agreements, vendor negotiations, service level agreements ensuring compliance with federal and state laws. Monitors and interprets evolving legal and regulatory requirements affecting healthcare procurement, including FDA regulations, HIPAA, and CMS guidelines; and implements procurement policies that comply with hospital accreditation standards (e.g., Joint Commission, DNV) and other industry best practicesEssential Duties and Responsibilities:
Strategic Procurement Support
- Advise the Chief Procurement Counsel on procurement-related legal matters and risk management strategies.
- Support hospital leadership in negotiating high-value procurement deals, capital equipment acquisitions, and strategic partnerships.
- Work closely with pharmacy, medical device procurement, and IT departments to ensure compliance with applicable legal standards and hospital policies.
- Lead the drafting, review and negotiation of procurement contracts, vendor agreements, master services agreements, software licenses and IT agreements that include complex implementations, PHI and cloud services.
- Ensure contracts contain appropriate terms and conditions regarding pricing, warranties, liability, indemnification, and dispute resolution.
- Collaborate with procurement, finance, and operations teams to align contract terms with business objectives and to ensure favorable terms for the health system.
- Establish standard contract templates and procedures to streamline the procurement process while maintaining legal protections and ensuring consistency.
- Identify potential legal and financial risks associated with procurement transactions.
- Collaborate with supply chain leaders and key stakeholders to optimize contract terms and develop risk mitigation strategies.
- Handle vendor disputes, contract breaches, and procurement-related litigation in coordination with the Office of the General Counsel.
- Conduct training for procurement and legal teams on contract management, compliance obligations, and risk mitigation.
- Assist the Chief Procurement Counsel by drafting materials, presentations, and completing necessary research to achieve institutional deliverables.
- Work in collaboration with NYC H+H C-suite and internal stakeholders to effectively communicate and manage priorities at all levels of the hospital system.
- Review supply chain board level documentation including all materials (i.e., contracts, policies) to be presented to the board
- Attend all board level meeting, act as the liaison with the board on all Supply Chain functions and counsel on any issues that require board approval
- Responsible for managing a team of associate staff and administrative roles.
Minimum Qualifications:
- Juris Doctor (JD) from an accredited law school
- Admission to the New York State Bar
- Ten (10) years of relevant, responsible experience in the practice of law subsequent to admission to the Bar with pertinent experience drafting and negotiating contracts under NY law.
- Ten (10) years of relevant experience in the practice of law with five (5) years of progressively responsible experience in a professional or managerial capacity.
