Description:
Position Summary:OKSI is seeking an experienced Counsel – Legal & Contracts to serve as the company's primary day-to-day internal legal resource for commercial and government contracting matters. This role supports legal operations, intellectual property protection, and compliance in a defense-technology environment.
The Counsel will work closely with the VP of Operations, Contracts Administrator, internal stakeholders, and the company's fractional General Counsel. After an initial onboarding period, this individual will independently manage routine and moderately complex legal matters while collaborating with outside counsel on strategic or high-risk issues.
What you will do:
- Contracting and Commercial Legal Support
- Draft, review, and negotiate a wide range of agreements including NDAs, customer contracts, vendor and supplier agreements, consulting agreements, subcontracts, teaming agreements, licensing agreements, software and technology agreements, and statements of work.
- Government Contracts, IP, and Data Rights
- Provide legal guidance on government contracting matters including FAR/DFARS requirements, subcontract terms, intellectual property protection, and technical data or software rights.
- Export, Compliance, and Regulatory Support
- Assist with contract language and legal considerations related to export controls, ITAR/EAR compliance, controlled technical data, and related regulatory obligations.
- Legal Operations and Scalable Systems
- Develop contract templates, fallback language, clause libraries, and negotiation playbooks. Help design scalable legal workflows, intake processes, and contract management systems to support the company's growth.
- Business Counseling
- Translate complex legal risk into practical business guidance for executives, engineers, program managers, contracts staff, and business development teams. Provide clear recommendations that balance legal protection with operational speed.
Requirements:
Required Qualifications:
- Juris Doctor (J.D.) from an accredited law school
- Active membership in good standing with at least one U.S. state bar
- Minimum 7 years of legal experience in contracts, commercial transactions, government contracting, or related legal work
- Experience drafting and negotiating commercial agreements
- Ability to translate legal risk into practical business guidance
Preferred Qualifications:
- In-house counsel experience in a technology, aerospace, or defense organization
- Experience working with FAR/DFARS and government contracting environments
- Familiarity with SBIR/STTR programs, data rights, and technical data protection
- Experience supporting export-control related contract issues (ITAR/EAR)
- Experience developing contract templates, negotiation playbooks, or legal workflows
- Experience working with contract lifecycle management or legal operations systems
Salary Description
$170,000 - $195,000
