Description:

An American Food Service Company is seeking a Counsel to support its Global Supply Chain and Group Purchasing Organization (GPO) team. An American Food Service Company affiliate, Avendra, is the primary GPO that this position supports, and the position is located out of Avendra's headquarters in Rockville, Maryland. The person filling this role will draft, negotiate and manage a wide range of vendor and third party contracts, as well as GPO customer contracts, and independently review and ensure that such contracts comply with company policies to best serve the business needs and align with enterprise strategic goals. This role is essential in coordinating and interacting with internal departments and external partners to gather all required contract information.

Job Responsibilities:
  • Review, draft and negotiate a wide variety of contracts, including services, supplier, consulting, GPO membership, and other third party agreements;
  • Review and assist the business in preparing contractual modifications; draft memoranda, and other correspondence relating to the procurement function;
  • Analyze and draft contractual requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, corporate policies, strategic initiatives of the enterprise and business unit needs;
  • Identify and provide advice about commercial contractual risks and issues;
  • Balance legal advice and strategic business advice appropriately. Work directly with internal sales, strategic sourcing, financial, and account management personnel;
  • Negotiate directly with external parties;
  • Prepare and disseminate updates and analyses regarding contracting status, compliance and modifications;
  • Demonstrate confidence in work product and seeks guidance on specific sophisticated issues; and
  • Other duties as may be requested by An American Food Service Company Legal.

Qualifications:
  • J.D. required
  • At least 1-3 years of relevant legal experience
  • Attention to detail and exceptional organization skills, with persistence and professionalism
  • Ability to work and think independently, possessing sound problem-solving and analytical skills
  • Ability to maintain professional and positive demeanor with internal clients, clients of our company, suppliers, vendors, senior management, and outside counsel in all circumstances
  • Responsive and client-service focused
  • Willingly accepts additional responsibility, challenging tasks, and/or projects
  • Exceptional drafting skills with strong communication (written and oral) and interpersonal skills
  • Fully proficient in MS Office applications such as Word, Excel and Outlook; proficiency in ARIBA and Smartsheet a plus.
