Job Overview:We are seeking an attorney with experience in structured finance, ideally including collateralized loan obligations (CLOs), asset-backed financing (ABF), and other asset classes, including fund structuring and formation, private offerings and investor terms, and compliance and regulatory requirements. The ideal candidate will have exposure to CLOs and ABF, however candidates with a particularly strong expertise in other products, including debt finance, structured products, and private funds, will be considered. You will be joining a team that supports nearly every asset class across the firm's investment platform. You will collaborate cross-functionally to grow and diversify our business, mitigate legal and regulatory risk, and serve our global client base. We'll trust you to:
- Manage day-to-day legal aspects of our asset management business, with a particular focus on CLOs, ABF, debt finance, private funds, and other asset classes
- Provide legal advice concerning the formation of CLOs, ABF, fund credit facilities (both leverage and liquidity), private funds, and other products, including drafting offering documents, negotiating with service providers, and ensuring compliance with relevant laws, regulations, and industry standards
- Draft, review, and/or negotiate organizational documents, investment management agreements, marketing materials, subscription agreements, limited partnership agreements, side letters, confidentiality agreements, and policies and procedures
- Assist with legal aspects of investor relations, including responding to investor inquiries and due diligence questionnaires, and coordinating investor reporting requirements
- Collaborate with internal stakeholders, including product, distribution, investment, risk, and compliance professionals, on formation and day-to-day affairs our investment funds
- Identify legal risks and provide recommendations to mitigate those risks
- Interpret, analyze, and provide guidance on major applicable regulatory reforms
- Actively participate in industry forums and manage relationships with external legal counsel, service providers, and regulatory authorities to sustain an awareness of existing and proposed regulatory initiatives, industry trends, emerging risks and opportunities, and best practices
You'll Need to Have:
- Excellent academic background, including a Juris Doctor degree
- A minimum of 5 years of relevant experience as an attorney while working at a leading law firm, in-house, or both (some law firm experience is required), with exposure to CLOs, ABF, debt finance, and/or private investment funds.
- Strong knowledge of alternative investment strategies, including structured finance/CLOs, debt finance, credit facilities, private funds, and related legal frameworks.
- Ability to think strategically and critically to solve challenges with innovative solutions, with the focus and agility to drive execution on key priorities
- A proactive, energetic, and pragmatic approach to legal and business issues.
- Superior interpersonal and communication skills, including the ability to distill and explain technical and/or complex matters to non-lawyers
- A prolific, entrepreneurial, resilient work ethic, including the ability to manage multiple responsibilities simultaneously, meet deadlines in a fast-paced environment, and remain nimble when priorities change.
