Job Summary:
Corporate Counsel – Employment & Commercial role provides commercial transaction, employment law, and litigation support for the company's legal affairs. The role has particular emphasis on negotiating and reviewing contracts for mergers and acquisitions while providing day-to-day advice and counsel for the Company's corporate functions (e.g., contracts, marketing, IT, procurement, data security, Intellectual Property) on litigation matters.

Duties and Responsibilities:
  • Draft, review, and revise various transactional documents (including NDAs)
  • Assist on due diligence projects with a focus on M&A and private equity transactions
  • Identify and relay issues for resolution
  • Draft, review, and negotiate commercial agreements, reviewing and structuring service and equipment purchase agreements as needed
  • Provide legal support for other general business operations, as needed
  • Provide counsel for commercial disputes and litigation on matters arising out of BrightView's operations, including M&A
  • Conduct research and perform task-based projects assigned
  • Respond to subpoenas and correspondence
  • Counsel clients within the company regarding a broad set of issues and matters
  • Primary legal department representative for matters relating to data security, do-not-call databases, etc.
  • Bankruptcy claims
  • Work closely with the Human Resources function at the Regional and Corporate levels on employment, labor law, and contract matters.
  • Thoroughly understand BrightView's structure, operations, and policies relevant to respective areas of responsibility, and a command of the Employment laws and regulations affecting the Company.
  • Provide employment-related legal counseling, including but not limited to day-to-day employment and immigration-related advice and counsel.
  • Support and manage litigation and administrative charge audits.
  • Interpret laws and regulations and research key legal questions as needed.

Education and Experience:
  • Bachelor's degree & Juris Doctor (J.D.) degree
  • Active license to practice law in at least one U.S. state
  • 4-8 years of commercial law and employment law experience, which includes transactional; some litigation familiarity background is a plus. This may include relevant in-house and/or government experience
  • Prior experience as a transactional attorney (including experience with IT agreements) is valued
  • Working knowledge of a broad legal landscape – commercial, IP, real estate, marketing, procurement agreements, and other business transactions; commercial disputes
  • Experience in employment litigation, including preparation and review and/or preparation of pleadings, discovery, and motions.
  • Ability to identify and address complex legal and business issues.
  • Substantial employment law experience, including (but not limited to) Wage and Hour and Discrimination claims.
  • Prior experience with administrative case management including negotiation with the EEOC or state EEO agencies.
  • Excellent verbal and written communications skills.
  • Practice in Pennsylvania (relocation may be considered)
  • Excellent written/oral communications, organizational and interpersonal skills
  • Strong analytical skills
  • Acute attention to detail and ability to multi-task in an evolving corporate culture
  • Initiative with ability to act decisively, work independently, and exercise excellent judgment
  • Comfortable creating structure in a fluid environment
  • M&A experience required

Physical Demands/Requirements:
  • Constant operation of a computer and other office equipment, such as a laptop, a cell phone, and printers/copiers
  • Position is sedentary; must be able to remain in a stationary position for the majority of time
  • Operates in an office environment and requires in-person presence (5 days/ week)
  • Ability to maintain, in your possession at all times, required medications to address any known allergic reactions should they occur
