Position Overview:We are currently seeking a junior associate to join the dynamic and busy capital markets practice in New York.
Skills & Experience:
An Ideal Candidate Will:
- be a second to third year associate with experience:
- representing corporate clients and underwriters in a broad range of capital markets transactions, including SEC-registered debt and equity offerings and shelf registrations, and private offerings under Rule 144A, Regulation D, Regulation S and other exemptions (some foreign private issuer and/or MJDS experience is preferred but not strictly necessary);
- advising corporate clients on SEC reporting requirements, including annual, quarterly and other periodic reports and proxy statements (ideally also Section 13(d) and Section 16 reporting and registration statements on Form S-8 but not strictly necessary); and
- providing corporate clients with general corporate and securities law advice, including stock exchange and corporate governance matters;
- have excellent interpersonal and drafting skills and a willingness to collaborate;
- have a superior client service orientation and a strong work ethic;
- have the ability to work well both independently and in a team-oriented environment;
- have good judgment; and
- be a member in good standing of the New York bar.
