Collier Legal Is Seeking a Corporate Transactions Attorney to Join the Firm on A Contract or Part-Time Basis. the Position Is Expected to Involve Approximately 5–10 Hours per Week, with The Potential for Additional Work as The Firm's Transactional Practice Grows.

The Position Will Focus on Helping Startups and Small to Mid-Sized Businesses Structure, Document, and Protect Their Businesses, with Particular Emphasis on Matters Involving Intellectual Property, Technology, and Commercial Relationships.

The Ideal Candidate Has Substantial Experience with Saa S Agreements and Technology Transactions, Can Work Independently, and Is Comfortable Communicating Directly with Business Clients.

Position Overview:
This Position Will Involve a Range of Corporate and Commercial Matters, Including:
  • Business Formations and Entity Structuring
  • Preparation and Review of Operating Agreements, Bylaws, Shareholder Agreements, and Other Governing Documents
  • Corporate Transactions and General Corporate Matters
  • Saa S Agreements and Other Technology Agreements
  • Software Licensing and Technology-Related Commercial Agreements
  • Agreements Involving the Development, Ownership, Licensing, or Use of Intellectual Property
  • Commercial Agreements for Startups and Emerging Businesses
  • Advising Clients on Business Structures and Contractual Arrangements that Support Their Ip and Commercial Objectives
  • Working with The Firm's Attorneys on Matters Involving the Intersection of Corporate, Commercial, and Intellectual Property Issues
  • The Position Is Intended to Complement Collier Legal's Ip Practice Rather than Operate as A Broad General Corporate Practice. the Attorney Will Help Clients Address the Business and Contractual Issues Surrounding Their Intellectual Property, Particularly as They Develop Products, Enter Commercial Relationships, License Technology, and Grow Their Businesses.

The Selected Candidate Will Be Client-Facing and Will Be Listed on The Firm's Website with Their Name and Photograph.

Because Collier Legal Emphasizes Accessibility and Responsiveness to Clients, the Ideal Candidate Will Be Comfortable Communicating with Clients and The Firm Outside Traditional Business Hours when Reasonably Necessary.

Qualifications:
Required:
  • Active License to Practice Law in Ohio, Missouri, or New York
  • At Least 3 Years of Substantial Experience Handling Corporate, Commercial, or Transactional Matters
  • Substantial Saa S Agreement Experience
  • Experience Drafting and Reviewing Business and Commercial Agreements
  • Experience with Business Formations and Governing Documents
  • Ability to Work Independently and Manage Assigned Matters
  • Ability and Willingness to Communicate Directly with Clients
  • Strong Written and Verbal Communication Skills
  • Strong Attention to Detail and Work Product Quality

Preferred:
  • Experience Working with Startups, Emerging Companies, or Small to Mid-Sized Businesses
  • Experience with Intellectual Property Licensing, Assignments, or Other Ip Transactions
  • Experience with Software Licensing or Other Technology Transactions
  • Experience Drafting or Negotiating Commercial Agreements Involving Intellectual Property
  • Experience Advising Clients on The Relationship Between Corporate Structure, Contracts, and Ip Ownership
  • Experience with Mergers, Acquisitions, Asset Purchases, or Other Corporate Transactions
  • Experience Working in A Small or Boutique Law Firm Environment

Candidates Should Be Comfortable Working Independently and Across a Variety of Business and Technology Matters. Experience with Ip Is Particularly Valuable Because Many of The Firm's Clients Have Businesses Built Around Software, Biotechnology, Medical Devices, and Other Intellectual Property.
