Key Responsibilities:
The duties of the position include, however, are not limited to the following:
  • Assist in advising clients on business formation, structuring, and governance matters
  • Draft and review corporate documents, including operating agreements, bylaws, shareholder agreements, and resolutions
  • Support mergers and acquisitions, asset purchases, and other transactional matters, including due diligence and closing documentation
  • Conduct legal research and prepare memoranda on corporate and business law issues
  • Assist with contract drafting, review, and negotiation across a variety of industries
  • Participate in client meetings and communications under the supervision of senior attorneys
  • Maintain accurate and timely billing entries in accordance with firm policies
  • Collaborate with attorneys across practice areas to support client needs
  • Interface with clients and opposing counsel in a professional manner
  • Build relationships with existing clients, including involvement in networking and business development activities
  • Work within a team and support peer associates

Requirements:
  • 2 years' experience in a similar transactional role
  • Strong academic and employment credentials
  • Ability to communicate clearly and effectively—both orally and in writing; Advanced research and writing skills
  • Ability to work independently and efficiently, as well as within a team orientation involving extensive collaboration with other attorneys, paralegals, and office staff
  • Proficient in Microsoft Office Suite including Word, Excel and Outlook
  • Proficient with legal research tools, including LexisNexis
  • Licensed in PA and a J.D. from an accredited law school
