Responsibilities

Assist Partners in all areas of corporate and commercial law.
Be able to work autonomously.
Prepare and negotiate disclosure schedules and other documents and agreements related to sale, acquisition, merger and other commercial transactions.
Draft, review and revise all forms of commercial documents including master service agreements, purchase order terms, supply agreements and distributor agreements
Counsel clients on new entity formation including drafting, reviewing and revising formation documents, employment agreements and owner buy-sell agreements.
Performed legal research on corporate matters.
Assist in marketing the firm's Corporate group to generate business from current and new client

Qualifications:

Law Licensure in Pennsylvania at minimum
7-10 years relevant practice experience in the areas of general corporate law, commercial transactions, mergers and acquisitions and business planning
Excellent written, oral and interpersonal communication skills
Strong analytical skills
