Vinson & Elkins L.L.P. seeks a Partner - Corporate practice group in Austin, TX to advise clients on transaction structuring, including anticipated risks and mitigation strategies. Act as lead legal advisor for negotiation of key transaction documents, including term sheets, governance agreements, purchase and sale agreements and related agreements. REQUIREMENTS: JD, LLM or foreign equivalent and 8 years of experience as an Associate or related occupation. Eight years of experience must include the following: Negotiating term sheets, governance agreements, purchase and sale agreements as well as disclosure schedules and related agreements, particularly in respect of acquisition transactions, joint ventures, and minority investments; Drafting and reviewing ancillary transactional documentation, including resolutions, officer's certificates, organizational documents, membership interest certificates and transfer powers; Supervising due diligence and preparation of due diligence reports in connection with complex corporate financing and acquisition transactions, including coordinating applicable searches and filings; and Reviewing and negotiating transaction documents for acquisitions and investments, often involving private equity funds with deal values of at least $100 million dollars. Must have Licensure in Texas, or alternatively, licensure in another jurisdiction, and eligibility to obtain Texas law license within 12 months.
