A Chemical Manufacturer is a dynamic holding company with a growing corporate culture that provides centralized services for A Chemical Manufacturer in North America and beyond. In addition to integrating the corporate activities of its subsidiaries, this regional headquarters is working to expand A Chemical Manufacturer's business lines and operational capabilities within North America.

Summary:
This position will work under the direction of the Vice President & General Counsel and will be responsible for providing comprehensive legal services to management and cross-functional business partners.

Major Duties and Responsibilities:
  • Advise, consult and carry out the legal processes necessary to protect and preserve the rights, privileges, and obligations of the organization
  • Consult and handle all corporate legal processes (e.g. intellectual property, purchases, sales, mergers & acquisitions, financings, compliance issues, transactions, agreements, lawsuits, patents)
  • Negotiate deals and serve as an advisor to company management
  • Gather evidence and information for management decision making
  • Structure, prepare and review various legal documents, such as purchase terms & conditions, sales terms & conditions, real and personal property leases, licenses, supply contracts, purchase contracts, product quality contracts, IT service contracts, joint intellectual property development contracts, employment manuals, SOPs, etc.
  • Examine legal data to determine advisability of defending or bringing a lawsuit
  • Examine materials such as advertisements, publications, etc. for legal implications
  • Advising company management of proposed legislation that might affect the organization
  • Advise company management on the organization's products, processes, devices, copyrights and trademarks that might merit patent, copyright or trademark protection and registration
  • Advise company management on tax matters, government regulations, and/or legal rights and obligations
  • Represent the company before quasi-judicial or administrative agencies of the government
  • Conduct employee trainings on legal topics
  • Attend board of directors meetings
  • Partner on domestic and international subsidiary matters, including statutory audits and compliance, international expansion
  • Manage outside counsel's budget

Education:
  • J.D. degree from accredited law school
  • License in good standing to practice law in at least one US Jurisdiction
  • Minimum 8 years' experience as a corporate lawyer

Skills and Qualifications:
  • 8 years of corporate law experience preferred
  • Excellent communication, negotiation, and leadership skills
  • Professional demeanor and strong work ethic
  • Strong written and oral communication skills, including the ability to explain concepts clearly and actionably to senior leaders
  • Excellent legal and business judgment with the ability to assess and communicate risks to senior business partners in a clear and actionable way
  • Ability to work independently on projects with minimal supervision, and manage multiple projects/meet deadlines within budget and with consistently high-quality work product
  • Ability and willingness to travel on occasion (10-20%)
