About the role:
We are seeking an experienced Corporate Counsel to join our Legal Team. In this role you will work closely with the General Counsel in the corporate legal function, with a primary focus on M&A, strategic investments, financings, global expansion and overall public readiness. This role will work closely with Finance, People, and other teams around acquisition structure and post-acquisition integration, the company's fundraising and equity programs. Additionally, you will assist with designing the processes, agreements, frameworks and ways the broader team and business approach transactional and governance matters.

Responsibilities:
  • Legal lead for acquisitions, strategic investments, joint ventures, and other corporate transactions through the full lifecycle, including post-closing integration and structure.
  • Serve as the primary legal partner to Finance and Operations on deal strategy and execution, giving clear recommendations to key stakeholders.
  • Support the company's fundraising, including diligence, financing documents, side letters, investor rights, and coordination with outside counsel across a compressed timeline.
  • Partner with Finance and People on ElevenLabs' equity programs, including option and RSU grants, plan amendments, cap table hygiene, 409A process, and secondaries and tender offers.
  • Work with Finance, Tax and Operations on global expansion efforts
  • Advise on securities law questions that come with a fast-scaling private company.
  • Support corporate governance and entity work, including proper approvals, and subsidiary formation.
  • Design, maintain, and continuously improve templates, playbooks, diligence checklists, approval workflows, and signing and closing infrastructure to scale the corporate function.
  • Provide clear, pragmatic, and commercially focused legal advice to cross-functional teams, tailoring advice to enable responsible growth.

What you bring:
  • J.D. and active membership in at least one U.S. State Bar.
  • 6+ years of relevant post-qualification legal experience at a major law firm, a high-growth technology company, or both.
  • Proven track record drafting and negotiating M&A and investment documents, including purchase agreements, term sheets, disclosure schedules, and ancillary deal documents as well as post acquisition integration.
  • Substantive experience with venture or growth-stage financings and the securities law questions that come with them.
  • Working knowledge of equity compensation, including plan administration, grant mechanics, and liquidity events such as secondaries and tender offers.
  • Strong corporate generalist instincts, with enough governance and entity experience to keep transactions clean on the back end.
  • Excellent communication, stakeholder management, and problem-solving skills.
  • Comfort in fast-paced environments with shifting priorities and tight deadlines.
  • Public company experience strongly preferred

Location:
This role is remote and can be executed in the United States, with a preference for New York or San Francisco, where the company has offices and significant presence.
