Overview:
The Corporate Counsel is an individual contributor lawyer who provides legal advice to business units and cross-functional terms. Proactively and effectively manages a diverse range of legal matters in a range of substantive areas.

Responsibility
  • Draft, review, and negotiate a wide range of contracts and commercial agreements, including procurement, supply, professional engagement, marketing, IT, laboratory, and data use agreements.
  • Review commercial arrangements and customer-facing materials for compliance with company policies, laws, and regulations, including data privacy.
  • Advise and partner with business teams on commercial matters as they arise in assigned business units, working closely with external counsel when necessary.
  • Collaborate with business units to identify and mitigate legal risks associated with day-to-day operations.
  • Regularly review and update contract library with templates and provisions and contribute to the ongoing development of the Legal Department “playbook” for contract negotiations.
  • Participate in cross-functional teams and projects to provide legal insights and support.
  • Collaborate with, and assist, members of the Legal team and other internal stakeholders on a broad range of topics and projects.
  • Advise internal stakeholders on contract interpretation, terms, negotiating positions, and risk management.

Qualifications:
  • Juris Doctor degree and bar admission in good standing required.
  • 5+ years of experience in a law firm or in-house legal position.
  • Strong background in commercial law, contract law, and healthcare regulations with healthcare, life science, medical device, or similar industry experience preferred.
  • The ability to analyze complex legal issues, identify potential solutions, and provide practical guidance to the business.
  • Transactional background with a demonstrated ability to draft and review commercial agreements, including complex arrangements, quickly and efficiently with little or no supervision.
  • Strong business sense coupled with the ability to evaluate risk, consider business and practical considerations, and provide clear pragmatic legal advice.
  • Experience in data privacy regulations including HIPAA.
  • Strong organizational and time management skills, and resourceful self-starter with excellent problem-solving capabilities, judgment, communication (written and verbal) and interpersonal skills.
  • High levels of initiative, confidence and ability to appropriately influence others.
  • Understanding and adherence to legal ethics and ability to maintain confidentiality.

Physical Requirements:
Lifting Requirements – light work or exerting up to 20 pounds of force frequently. Physical Requirements – stationary positioning, moving, operating, ascending/descending, communicating, observing, pushing or pulling, and reaching. Use of equipment and tools necessary to perform essential job functions.
