We are excited to hire an attorney that will support An American Cloud-Based Software Company global M&A program and other strategic initiatives! This is a rare and unique opportunity to join one of the most innovative companies in the world and play a key role in building its strategic vision, all as part of a small, close-knit team of lawyers. This attorney will interact with high-level executives and have a front row seat to An American Cloud-Based Software Company most interesting strategic transactions.

This role is open to qualified applicants located in Atlanta or Indianapolis, and will report to the VP & Associate General Counsel, M&A Legal, based in San Francisco. Our team adopts a hybrid work model with a minimum of three days a week in our breathtaking, collaborative offices and up to two flexible remote work days a week.

Description of Role:
  • Supporting Corporate Development in M&A activities globally in a substantive fashion and without extensive supervision
  • Working closely with Corporate Development and other functional groups in all stages of acquisitions, including term sheet negotiations, deal structuring, running deal processes, drafting and negotiating definitive documents, closing deals and addressing post-closing integration and indemnification issues
  • Leading the legal due diligence process in acquisitions, coordinating with other legal partners, and communicating findings, risks and solutions to senior leadership
  • Assisting development of legal strategy across An American Cloud-Based Software Company acquisition portfolio
  • Driving continuous improvements, scalability and operational excellence in deal processes and execution
  • Managing outside counsel
  • Assisting the broader Strategic Transactions legal team on other high priority tasks and matters, including investments and portfolio company exits

Required Skills & Qualifications:
  • 3-6 years of legal experience primarily in M&A (buy-side preferred; strategic acquiror experience is a plus)
  • Exposure to deals, investments, and companies in multiple jurisdictions and across time zones
  • Highly responsive and service-oriented attitude
  • Ability to work under pressure, prioritize, and manage workloads to meet deadlines in an exciting and fast-paced environment
  • In-depth knowledge of corporate, securities, and contract law
  • Experience with technology, software and SaaS companies is a plus
  • Excellent legal and business judgment
  • Experience independently negotiating complex strategic transactions
  • Proven capacity to actively tackle complicated legal and business problems
  • Fantastic communication and interpersonal skills
  • Team player who can successfully communicate with other members of the legal department as well as non-legal functional groups
  • Flexibility to assist the legal department in its activities and its mission
  • Engagement in volunteer work and pro bono initiatives is a plus
  • Qualified to practice law in the U.S.
