This role is integral to a fast-paced, project-driven organization and will work closely with firm leadership and business units to provide practical, business-focused legal guidance across a portfolio of complex projects.
The Corporate Counsel will play a central role in contract strategy, negotiation, and risk mitigation, partnering with project teams to structure agreements and manage risk throughout the project lifecycle. In this role, you will play a critical part in identifying, managing, and mitigating key risks across Kahuna's projects and operations, including:
- Contractual Risk Allocation – Structuring and negotiating terms related to indemnity, limitation of liability, scope, and payment to align with Kahuna's risk tolerance.
- Insurance & Claims Exposure – Ensuring contractual insurance requirements align with corporate coverage and managing claims to minimize financial and operational impact.
- Project Execution Risk – Supporting project teams in identifying and mitigating risks tied to scope gaps, change orders, delays, and contractor performance.
- Regulatory & Compliance Risk – Monitoring evolving regulations and ensuring compliance across jurisdictions, licensing, and operational requirements.
- Commercial Deal Risk – Partnering with business leaders to evaluate and structure deals that balance opportunity with sound risk management.
- You will partner closely with business leaders to proactively manage these risks while enabling efficient and successful project execution.
What You'll Do:
- Lead the drafting, review, and negotiation of Master Service Agreements (MSAs), procurement contracts, and other commercial agreements supporting engineering and design projects
- Drive contract strategy and risk mitigation, identifying and addressing key legal and commercial risks across project agreements.
- Partner with project managers and leadership to structure and negotiate deals, providing practical legal guidance aligned with business objectives.
- Manage corporate risk programs, including oversight of insurance coverage, claims management, and alignment of contractual insurance requirements.
- Ensure compliance with business and professional licensing requirements across all jurisdictions where Kahuna operates.
- Monitor and interpret regulatory developments, advising the business on potential impacts and compliance obligations.
- Develop and maintain corporate policies, procedures, and documentation to support evolving business and risk management needs.
- Conduct ongoing risk assessments, identifying potential legal and operational risks and recommending mitigation strategies.
- Provide support on general corporate legal matters and other responsibilities as needed.
- Juris Doctor (JD) from an accredited law school.
- Licensed and in good standing to practice law in the state of Colorado.
- 2–4 years of experience drafting, reviewing, and negotiating contracts related to professional services, engineering, construction, or project-based environments (law firm or in-house).
- Demonstrated experience in contract negotiation and risk allocation, including indemnity, limitation of liability, and insurance provisions.
- Working knowledge of corporate risk management principles, including insurance requirements and claims processes.
- Strong ability to identify, assess, and communicate risk, balancing legal considerations with business objectives.
- Excellent communication, organization, and prioritization skills, with the ability to manage multiple projects and stakeholders.
- Proven ability to partner with cross-functional teams and contribute to deal strategy and execution.
- Familiarity with employment law and general corporate legal matters is a plus.
