Position Overview:
Solid Power is seeking a Director, Corporate and Securities Counsel to join our talented team. Solid Power is a publicly-traded company with a dynamic, collaborative team environment. Reporting to our head of legal, this role is ideal for a high-performing attorney with 3-6+ years of corporate and securities experience who is eager to expand their impact.

As a key member of our lean, high-performing legal team, this position will provide practical, business-oriented legal advice across a wide range of matters. This role will focus on securities and corporate governance work as well as broader commercial and operational legal needs. This is an individual contributor role with significant exposure to senior leadership and cross-functional stakeholders.

Job Duties:
Securities and Corporate Governance
  • Lead or support preparation and review of SEC filings, including Forms 10-K, 10-Q, and 8-K and proxy statements.
  • Advise on public company and corporate securities law matters and related compliance, including SEC reporting, disclosure controls, Nasdaq compliance, and public disclosures.
  • Support preparation for Board of Directors, Board committee, and stockholder meetings, including preparation of materials, resolutions, and minutes.
  • Monitor and advise on developments in securities laws and regulations, Nasdaq rules, proxy advisor guidance, and developments, and corporate governance trends.

Commercial Matters and Cross-Functional Support

  • Provide day-to-day, pragmatic counsel and advice to internal stakeholders regarding various and broad-ranging legal matters.
  • Draft, review, and negotiate a variety of commercial agreements, including NDAs, material transfer agreements, and other contracts.
  • Facilitate cross-functional relationships and decision making among teams, including finance and accounting, technology and innovation, and human resources.
  • Coordinate with and manage outside counsel as needed.

Qualifications/Requirements:
  • Juris Doctor from an accredited law school and admission (or eligibility) to the Colorado bar.
  • 3-6+ years of corporate and securities experience (law firm and/or in-house).
  • Exposure to M&A, corporate governance, and/or compliance matters preferred.
  • Strong executive communication, problem-solving, and critical thinking skills.
  • Intellectual curiosity and desire to learn across a broad range of legal topics.
  • Sound judgment, high ethical standards, professionalism, and discretion.
  • Ability to balance legal risk with business objectives in a fast-paced environment.
  • Proven ability to work effectively under pressure and manage competing priorities with ownership and precision.
  • Strong proficiency with standard business software and Microsoft Office applications.

  • Salary Range: $200,000 - $240,000/Annually
