Description:

The Corporate Counsel position primarily provides legal counsel and support to A Danish Manufacturer, Seller, Installer, and Servicer of Wind Turbines Company procurement and supply chain teams in connection with the manufacturing and transportation of wind turbine generator equipment, the construction and maintenance of wind energy projects, and the real estate and facility needs of the U.S. and Canadian operations teams. The position partners with internal stakeholders to draft, review, and negotiate contracts and related documents; assists with the contract review and approval process; provide advice about legal and compliance issues; create and present training on relevant topics; effectively supervises external counsel where necessary; assists with dispute resolution and risk management where necessary; and interacts with global legal and business colleagues on multi-jurisdictional transactions and initiatives. This position will also help develop and implement strategies, policies, and procedures to align with legal, regulatory, and contractual requirements. In addition to procurement activities, this position will be responsible for real property leases. It is a highly interactive job, where building relationships with senior leaders and key business partners is essential. This position will work closely with A Danish Manufacturer, Seller, Installer, and Servicer of Wind Turbines Company global legal procurement team in Denmark.

Responsibilities:
  • Negotiate, draft, and review various transportation (trucking, rail, barges), crane and lifting services, labor services, real estate (office, warehouse, laydown yard, railhead), and other supply chain-related agreements that accurately reflect the commercial, technical, financial, and legal decisions and comply with company guidelines and preferences.
  • Examine complex situations and provide practical, timely, and accurate legal advice.
  • Conduct legal research and analysis of relevant laws and regulations related to A Danish Manufacturer, Seller, Installer, and Servicer of Wind Turbines Company supply chain; advise about and assist with compliance.
  • Support the development, drafting, and implementation of policies and procedures.
  • Effectively supervise outside counsel and other third-party advisors, as needed, to ensure timely and effective execution of applicable agreements, accurate and effective legal advice to the company, and resolution of disputes where necessary.
  • Advise procurement professionals, supply chain staff members, and others to ensure that contracts and projects comply with applicable laws and regulations as well as advise on risk management strategies related to various agreements.
  • Draft and revise applicable internal governance documents related to supply chain agreements.
  • Develop and implement training on legal and compliance issues.
  • Work closely and effectively with legal staff, senior management, and employees of all levels and cultures in a global organization.
  • Stay up to date on relevant legal developments, including changes to laws and regulations, and advise the company accordingly.
  • Exhibit good judgment, decision-making, research, analytical, and communication skills.
  • Follow company processes and guidelines.

Qualifications:
  • J.D from an accredited law school, admission to state bar, and ability to practice law.
  • Seven plus years of experience practicing law.
  • Experience with complex procurement and supply chain transactions.
  • Client service orientation.
  • Experience with commercial real estate leases is beneficial provided the applicant has a willingness and aptitude to develop understanding.
  • Proficient negotiating, drafting, organization, and communication skills.
  • Ability to effectively influence and communicate within all levels of a global organization, as well as with external customers and contractors.

  • Effectively and accurately draft, review, and negotiate a variety of contracts.
  • Effectively supervise outside counsel and effectively assist the General Counsel, Senior Director of Service and Supply Chain Legal, and other internal legal team members.
