Overview:
A Construction Engineering Company is seeking a Corporate Counsel to join our team! The Corporate Counsel serves in the capacity of legal expert for matters pertaining to developing project contracts, contractual disputes, and formal claims and litigation.

Responsibilities:
  • Coordinate efforts with other internal teams to propose appropriate risk management, identify critical project risk issues and make recommendations and provide summation of documents for execution.
  • Substantial litigation experience or experience managing litigation, contract review and disputes.
  • Experience with internal and external investigations, including responding to administrative agency charges.
  • Experience in analyzing non-compete/non-solicit agreements and drafting cease and desist letters.
  • In depth knowledge of federal and state employment laws and regulations including Title VII, FEHA, Americans with Disabilities Act, Family Medical Leave Act, EEO laws, wage and hour and other federal and local laws affecting the employer-employee relationship.
  • Experience with AAPs and OFCCP audits.
  • Demonstrate successful ability to integrate with and provide strategic counsel to Human Resources department and other internal business partners.
  • Liaise with our various insurance brokers and our other internal corporate departments regarding coverage requirements and compliance.
  • Manage tasks and provide advice on integration of newly acquired firms, including postacquisition integration due diligence and risk management reviews.
  • Review and negotiation of public-entity, and private client, professional services contracts, requests for proposals/qualifications (RFPs/RFQs), non-disclosure agreements (NDAs), teaming agreements, joint venture agreements, and other legal and contractual documents.
  • Review and guidance on insurance coverage issues impacting the firm's projects.
  • Providing assistance on post-acquisition integration matters arising under our M&A processes.
  • General corporate governance matters, as needed.

Qualifications:
  • J.D. Degree from an ABA-Accredited law school and strong academic credentials.
  • 6-8 years of relevant legal experience, preferably including in-house experience.
  • New Jersey Bar Admission – additional states a plus but not required.
  • Knowledge and experience with professional liability law, particularly in the engineering and construction industry, is a plus.
  • Possess strong client-relations, interpersonal, written and oral communication and analytical skills and be able to communicate clearly, concisely, and professionally with all levels of management regarding legal issues.
  • Ability to draft, review, evaluate, and negotiate various business agreements and effectively manage contract administration policies, systems, and procedures.
  • Ability to remain calm under pressure, handle a rapidly changing and fast-paced environment, manage multiple priorities, and work collaboratively with various stakeholders.
