Position Summary: We are seeking a skilled and business-savvy Corporate Counsel to join our General Counsel Team, supporting the General Counsel and Assistant General Counsel. The ideal candidate will have 5–8 years of legal experience, with a strong emphasis on business law, contract drafting and review, and legal research. This role will support the firm's legal operations, ensure corporate compliance, and facilitate business transactions while serving as a strategic legal advisor across departments.

Key Responsibilities:
Business Law and Legal Advisory:
  • Draft, review, and negotiate a wide range of commercial contracts and legal documents.
  • Provide legal analysis and guidance on business law matters, regulatory issues, and risk mitigation.
  • Conduct legal research and prepare memoranda on complex legal topics affecting the firm's operations.

Corporate Compliance:
  • Develop and maintain corporate governance policies and compliance programs.
  • Monitor changes in laws and regulations and advise leadership on necessary updates.
  • Prepare, update and maintain corporate records, including board minutes, resolutions, and entity filings.

Transactional Work:
  • Support legal aspects of mergers, acquisitions, joint ventures, and other strategic transactions.
  • Conduct and oversee due diligence processes and prepare related reports.
  • Coordinate transaction closings and ensure proper documentation and filings.

Communication and Coordination:
  • Serve as a legal liaison between the General Counsel Team and internal departments, external counsel, and regulatory bodies.
  • Provide legal support to finance, HR, and operations teams on compliance, contracts, and internal controls.
  • Assist in the development of internal workflows and process improvements related to legal operations.

Qualifications:
Education:
  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in Texas.

Experience:
  • Minimum of 5–8 years of legal experience, preferably in a corporate legal department or law firm setting.
  • Strong background in business law, contract law, and corporate transactions.

Skills & Competencies:
  • Exceptional drafting, negotiation, and analytical skills.
  • Strong understanding of corporate governance, compliance frameworks, and regulatory environments.
  • Proficiency in Microsoft Office, legal research platforms, and document management systems.
  • Ability to manage multiple priorities in a fast-paced, evolving environment.

Additional Desired Attributes:
  • Generalist background, with experience in personal injury, litigation, employment law, intellectual property or other diverse area of law.
  • Experience collaborating with accounting or finance teams, particularly in support of compliance, reporting, or internal controls.

Physical Requirements:
  • Office environment with normal business hours necessary to satisfactorily perform job functions.
  • Stationary Position – Must be able to remain in a stationary position up to 50% of the time.
  • Move or Traverse – This position needs to occasionally move about inside the office to access file cabinets, meeting rooms, office machinery, etc. May occasionally ascends/descends the stairs to get to other floors, cafeteria and parking area.
  • Dexterity – constantly operates a computer and other office machinery such as a copy machine/printer.
  • Move, Transport, Position, Put, Install, Remove - Occasionally moves supplies weighing up to 10 pounds for various presentation and event needs.
