Position Summary:
Corporate Counsel will provide legal advice and counsel to management and company personnel related to a wide variety of corporate, legal, healthcare regulatory and business issues. Under the direction of the Vice President, Deputy General Counsel, the Corporate Counsel will provide legal advice and contracting services in support of company operations and its affiliated entities. This position will primarily focus on support for home office and enterprise matters, inclusive of growth, supply chain, various IT department agreements, HR, managed care, marketing and other enterprise led matters.

Position Specific Responsibilities
Provides legal advice and counsel to operational and clinical colleagues, particularly focusing on corporate and healthcare legal needs.
  • Knowledgeable, and to remain informed, of federal and state health care laws and regulations, including fraud, waste and abuse laws, HIPAA, state licensure requirements and Medicare Conditions of Participation in connection with and in relation to clinical and business operations of the company.
  • Provide legal advice and counsel to management and company personnel related to a wide variety of corporate and business issues.
  • Coordinate with the internal business clients to ensure proper legal documents are used.
  • Prepares, reviews, and negotiates contracts and documents for the company, incorporating state and federal health care regulatory requirements.
  • Negotiate and draft vendor contracts, including software licensing, SAAS solutions, on-premise software, information security agreements and related and other services.
  • Provide legal guidance on contract interpretation.
  • Assist in the drafting and implementation of policies regarding the contracting process and ethics and compliance matters.
  • Assist with coordination of responses to subpoenas and government requests for information and documents.
  • Oversee and assist with due diligence and integration planning on proposed transactions.
  • Collaborate with other members of the legal department in connection department work.
  • Work directly with business counterparts and develop strategies for handling complex legal issues under supervision of Deputy General Counsel.
  • Performs other duties as assigned.

Education and Experience:
  • Juris Doctorate from an ABA accredited law school is required.
  • Current license in good standing to practice law in one or more jurisdictions.
  • A minimum four (4) to six (6) years of experience in active practice of a healthcare operations law practice as well as a working knowledge of health care regulations, are strongly preferred.
  • Prior experience in a large law firm is required.
  • Experience with home-based care providers and physician groups preferred.

Certifications, Licenses, and Registrations
Current license in good standing to practice law in one or more jurisdictions.
