Responsibilities:
The Corporate Counsel is a law firm-trained attorney that has in-house experience. The position will be based at An American Manufacturer of Scientific Instruments Company's corporate headquarters in Billerica, Massachusetts. This valuable member of the Legal, Compliance, and Privacy team must be a corporate generalist with experience in contracting, compliance, disputes, and employment matters; and enjoy working on a variety of legal issues in a fast-paced, frequently changing, entrepreneurial environment. This role reports to An American Manufacturer of Scientific Instruments Company's Senior Corporate and Compliance Counsel.

The Corporate Counsel is responsible for the following, among other things:
  • Working collaboratively with, and providing legal analysis and advice to, shared services (e.g., Information Technology, Finance, and Human Resources), business stakeholders, and cross-functional teams across each of An American Manufacturer of Scientific Instruments Company's business groups and divisions.
  • Provide compliant, practical and balanced legal advice in partnership with HR professionals regarding various employment topics, including policy and process review.
  • Negotiating and drafting a variety of commercial agreements, including non-disclosure, purchase and sales, consulting, services, distribution, software licensing, and research and development agreements.
  • Assisting with M&A and restructuring activities, as needed.
  • Leading special projects, as needed.
  • Assisting with An American Manufacturer of Scientific Instruments Company's corporate compliance program in North America.
  • Supporting the Legal, Compliance, and Privacy team, as needed, including regularly assisting on general corporate, employment, disputes, and contract matters.

Qualifications:
  • Law degree (JD) from an accredited US law school.
  • Active license to practice law, and in good standing, in Massachusetts or, if licensed in another state, able to qualify as a registered in-house lawyer with the Massachusetts Board of Bar Overseers.
  • 5–8 years of applicable law firm and in-house legal experience, including employment law.
  • Able to work independently, take ownership of projects, and be accountable for results.
  • Strong analytical ability together with reliably sound business judgment and a balanced and practical approach to risk mitigation and troubleshooting.
  • Superior written and verbal communication skills and a demonstrated ability to explain, clearly and accurately, complex legal issues to a non-legal audience.
  • A team player with strong interpersonal and leadership skills and the ability to foster relationships and work effectively with individuals at all levels and across all geographies of the organization from many different cultures.
  • Highly adaptable and resilient in the face of challenges and change.
