The Role:
The Assistant Counsel provides legal counsel and assistance with respect to corporate and transactional matters, including assisting with corporate governance and related Board matters, reviewing and advising on corporate reports, filings and disclosures, advising on corporate transactional and securities matters and assistance with corporate regulatory processes, policies and procedures. Review, monitor and resolve related legal and regulatory issues as they pertain to assigned matters and other projects/areas as determined by the Legal Department.

What you will do:
  • Working with paralegals and supporting senior attorney with the production and administration of Board meetings for An Investment Management Company and its corporate subsidiaries.
  • Working with paralegals and supporting senior attorney with corporate governance and related corporate filing matters.
  • Conducting regulatory research, as applicable, in connection with corporate governance, transactional and securities matters, corporate policies and procedures, etc.
  • Working with paralegals to respond to ad-hoc requests from internal and external clients, and in-house attorneys.
  • Working with senior attorney on the negotiation of corporate agreements with clients, vendors, suppliers, etc.
  • Monitoring changes to global regulation and advise internal stakeholders.
  • Assuming additional responsibilities as needed.

What we are looking for:
  • Bachelor's Degree and Juris Doctorate Degree required.
  • Must be a member in good standing of the Bar and maintain good standing for all necessary license(s) and/or professional qualifications.
  • 4-6+ years of work experience post-bar, ideally in investment management, financial services or industry-related firm.
  • Experience with general corporate matters preferred, with specific experience in the financial services industry as a secondary preference.
