Essential Purpose of This Position:
Provide legal counsel, advice and guidance on general corporate and compliance matters for An Electronics Manufacturing Company and its operating subsidiaries around the world

Essential Duties and Responsibilities:
  • Providing day-to-day corporate law support for the Company and its subsidiaries, including financing arrangements, commercial contracts, subsidiary minutes and resolutions, etc.
  • Assist General Counsel in providing Board support, including planning and coordination of Board meetings, preparation and mailing of board materials, drafting board and committee minutes, resolutions, annual shareholder meetings, etc.
  • Working with paralegal, oversee corporate subsidiary maintenance.
  • Provide and oversee legal support for real estate transactions, including leases, sales and acquisitions of real estate and facilities.
  • Provide and oversee commercial legal support for international operations, including compliance with USMCA, export/import, Restricted Party and other trade-related regulations.
  • Coordinate compliance with Records Management Policy
  • Assist General Counsel in administering and overseeing Company's corporate compliance program.
  • Support General Counsel as requested in handling employment and benefits matters.
  • In connection with the foregoing, reviews or conducts research, prepares legal documents, negotiates with outside parties, consults with and advises clients, and represents the company in dealing with others.
  • Responsible for managing relationships with outside counsel in areas of responsibility.

Computer Equipment and Software Requirements:
  • Must have an in-depth understanding of various computer programs including but not limited to: Microsoft Word, PowerPoint and Excel.

Education and Experience Requirements:
  • 6-7 years of total legal experience, including at least 2-3 years of in-house experience, preferably in a manufacturing industry
  • Bachelor's degree from a top quality, nationally recognized, accredited college or university.
  • Juris Doctor degree from a top quality, nationally recognized, accredited law school, preferably in top 15% of graduating class
  • Experience with a large law firm, including general and cross-border corporate, M&A, and corporate finance experience.
  • Public company & securities experience desired but not required.

Licenses Or Certifications:
  • Must be currently licensed to practice law in Georgia or another U.S. jurisdiction with reciprocity with Georgia.
