Inside the Role
Our legal team seeks to hire a Corporate Counsel experienced in contract negotiation, commercial transactions and process improvement that is motivated to play an integral role in executing our product strategy to lead sustainable transportation. You will be part of a team that is a key business parter to our commercial, aftermarket and procurement groups. In this role, you will have the opportunity to co-create new strategies and models for strategic purchases, and high volume purchases where scaleability is essential, develop and implement process improvement initiatives to continuously improve our contract management process, and work with a team of passionate, intelligent and fun individuals supporting the same purpose.

The Corporate Counsel will work proactively with cross-functional peers to help achieve common goals and objectives through thoughtful analysis and collaborative partnership. Success in the role will require a high level of collaboration with stakeholders from various product groups, sales and marketing, aftermarket, procurement, IT, members of our legal and compliance team, and our headquarter groups based in Germany. The Corporate Counsel must approach the work with the goal of improving processes and outcomes.

What You Drive at DTNA
  • Advise and counsel members of our procurement departments with respect to contract drafting, review and negotiation.
  • Efficiently negotiate, prepare, draft, and analyze contracts and contract terms related to a variety of customer, vendor, trade, commercial, financial, and operational matters to protect DTNA's legal and business interests.
  • Develop playbooks to support strategic commercial transactions such as managing new technology purchases, what's market for key transaction terms and risk allocation, and successfully navigating distressed suppliers.
  • Review and revision of marketing communications.
  • Create contract review playbooks and training materials to enable fellow legal team members as well as members of the procurement teams to review and negotiate contracts.
  • Prepare and maintain contract templates and/or clauses.
  • Support adoption and implementation of technology tools to improve efficiency and effectiveness of our contract lifecycle management process.
  • Support smooth handoff of commercial disputes to litigation team members.
  • Partner with corporate compliance on commercial related regulatory compliance matters.
  • Keep informed of new laws, regulations and industry trends that could affect the company and proactively make recommendations for changes to practices and policies.
  • Manage outside counsel with an eye for best value services.
  • Have the courage to form and defend a point of view on sensitive, high-profile issues, balanced with the humility to accept and incorporate other perspectives.

Knowledge You Should Bring
  • Juris Doctor (JD) degree.
  • Membership in good standing in a state Bar with the ability to practice law in Oregon as in-house counsel.
  • 5+ years relevant legal experience with a mix of law firm and in-house counsel roles required.
  • Significant experience negotiating and drafting contracts.
  • Experience communicating with and presenting information to leaders and executives.
  • Experience drafting and implementing playbooks, templates, or other continuous improvement initiatives designed to improve contract lifecycle management.
  • Ability to influence and gain partnership where direct reporting lines are absent.
  • Ability to bring levity and humor to an otherwise serious practice.

Exceptional Candidates Might Have
  • +8 years of professional experience preferred
  • Experience working in both manufacturing and software led organizations desired.
  • International experience desired.
