How you'll contribute:
As a Corporate Counsel, you'll be responsible for providing legal advice and counsel to the company's finance and communications professionals with respect to Securities and Exchange Commission (SEC) disclosure and other public company matters, capital markets transactions, general corporate law matters, as well as other responsibilities as assigned.

In this role, you'll get to:
  • Provide advice and counsel on legal aspects of SEC filings (under the '33 and '34 Acts), financial and other communications (including earnings releases and investor presentations), treasury and capital markets transactions and corporate governance matters.
  • Draft, and provide comments on drafts of, SEC disclosures (including 10-Ks, 10-Qs, 8-Ks, registration statements, and proxy statement filings), financing and other agreements, internal and external presentations and other communications.
  • Support the disclosure controls and procedures processes in connection with our SEC filings.
  • Represent An Annuity & Life Insurance Solutions Company in dealings with counsel representing underwriters, banks, regulators, and others.
  • Conduct or support due diligence review of corporate files.
  • Work with, guide, and manage outside counsel for An Annuity & Life Insurance Solutions Company on matters, to the extent they are engaged on those matters.
  • Perform other duties appropriate to the role, or as required or necessary.

We're looking for people who have:
  • J.D. and current Bar membership is required.
  • 3-5 years of legal experience in securities and public company matters, including `33 Act, `34 Act, SEC rules, listed company standards, and related considerations.
  • Strong understanding of public company, securities law and corporate governance.
  • Strong legal research, analytical, and problem-solving skills.
  • Anticipates legal issues and works proactively to address them; follows up and sees matters through to completion.
