In this role you will be an important strategic advisor for the company. You will be a key member of the legal team and will partner with leaders across the company to manage corporate governance matters, SEC compliance and corporate practice of medicine and other healthcare regulatory matters. You will be responsible for establishing and maintaining a work environment focused on delivering high quality customer service and one that fosters respect, positive communication, collaboration, and teamwork.

This role reports to the Chief Legal Officer. You will be part of a collegial legal team, and will have significant exposure to core elements of the business while you operate as a trusted advisor to the company's stakeholders. There will be significant opportunity to use your expertise in the areas of corporate governance, securities and private and public company related regulatory frameworks as you lead these critical matters for the company. You will play a key role in building a commercially-oriented culture in the legal team that works collaboratively with the rest of the organization to help keep Virta safe while it grows, prepares for a future as a public company and achieves its mission.

Responsibilities:
  • Manage the company's corporate governance and compliance with private and public company reporting obligations. Track the evolving legal landscape in state and federal government, and provide practical guidance for ongoing compliance. Develop, evolve and oversee policies and frameworks that enable compliance throughout the company.
  • Work closely with the company's Executive Team and Board of Directors, including preparation of materials and legal advice for committee and other meetings. Maintain books and records, and coordinate with transfer agents and other third parties.
  • Draft and review proxy statements and annual reports. Manage shareholder communications and prepare materials for meetings.
  • Provide internal training and build policies around insider trading, corporate disclosures and other SEC rules, effectively translating legal advice into meaningful guidance for innovative business teams.
  • Partner with clinical and product teams on regulatory aspects of digital health platform development and operations, advising on corporate practice of medicine, fraud and abuse, and other regulatory schemes.
  • Support stock-based compensation programs and equity matters. Advising finance and People teams on all aspects of equity administration.

90 Day Plan
Within your first 90 days at Virta, we expect you will do the following:
  • Onboard and become a SME on Virta products and services
  • Meet with Key Stakeholders
  • Support internal clients in process and policy development and training, as appropriate
  • Review Key Legal Documents and Policies
  • Learn Virta's current governance and equity programs and engage with stakeholders to evaluate pain points and opportunities

Must-Haves:
  • Licensed attorney in at least one U.S. state, with 5+ years privacy experience
  • Varied legal experience, including law firm, startup and public company roles in the healthcare industry
  • Articulate problem solver with expert knowledge of corporate security and public company reporting requirements as well as knowledge of healthcare regulations, including corporate practice of medicine, telemedicine, fraud and abuse rules.
  • Extremely practical, business oriented approach to practicing law within a company setting
  • Exceptional written and verbal communication skills, including the ability to communicate to all organizational levels
  • Excellent project management, drafting (clear and streamlined), negotiation and interpersonal skills
  • Positive attitude with ownership and accountability mentality

Virta has a location based compensation structure. Starting pay will be based on a number of factors and commensurate with qualifications & experience. For this role, the compensation range is $173,921 - $195,750 per year. Information about Virta's benefits is on our Careers page at:
