This role is based in Denver, CO in alignment with our flexible work policy (3 days on site required, 2 days flexible).

An IT Service Management Company is seeking a highly skilled and detail-oriented Corporate Counsel specializing in Ironclad Contracts to join our legal team. This position will be responsible for managing, drafting, negotiating, and reviewing contracts across the organization, with a specific focus on ensuring that all contracts are robust, enforceable, and aligned with the company's strategic objectives. In addition to providing excellent legal expertise and support, the candidate must bring a proactive, business and solution-oriented mindset to legal matters, an enterprise lens and a proven ability to work collaboratively across the organization. Ideal candidates for this role will have both in-house and law firm experience, strong business acumen, enterprise leadership, passion for growing a business and experience in continuous improvement and driving enhancements that benefit the Company.

Essential Job Functions:
Contract Management and Drafting:
  • Draft, review, and negotiate a wide range of contracts, including but not limited to customer agreements, vendor contracts, NDAs, service agreements, and partnership agreements.
  • Ensure all contracts are meticulously drafted to protect the company's legal and business interests while maintaining compliance with applicable laws and regulations.
  • Maintain and manage a centralized contract management system to track contract status, renewals, and key obligations.

Risk Management and Compliance:
  • Identify and mitigate potential risks in contractual agreements by ensuring that all terms are clear, enforceable, and aligned with the company's risk management strategy.
  • Advise on contractual obligations, risks, and liabilities to ensure that contracts are executed in compliance with applicable laws, regulations, and company policies.
  • Work closely with the compliance team to ensure that contracts adhere to internal and external compliance requirements.

Cross-Functional Collaboration:
  • Collaborate with internal stakeholders across departments, including Sales, Procurement, Operations, and Finance, to gather necessary information and ensure contracts meet business needs.
  • Provide legal advice and guidance to internal teams on contract-related matters, including interpretation of contract terms and conditions.
  • Support business development efforts by advising on contract strategies and negotiation tactics.

Negotiation and Dispute Resolution:
  • Lead and manage contract negotiations with external parties, ensuring that the company's interests are protected and that favorable terms are secured.
  • Handle disputes arising from contracts, working to resolve issues amicably while protecting the company's legal position.

Training and Education:
  • Develop and conduct training sessions for internal teams on contract management best practices, negotiation techniques, and legal considerations.
  • Keep abreast of changes in contract law and regulations, ensuring that the company's contracts remain up-to-date and compliant.

Continuous Improvement:
  • Contribute to the ongoing development and improvement of contract templates, processes, and policies to enhance efficiency and effectiveness.
  • Stay current on industry trends and best practices in contract management and apply this knowledge to improve the company's contract management practices.

Additional Duties:
  • Handle additional duties as assigned by Management.

Job Requirements:
Education:
  • JD from an ABA accredited law school and admission to a State Bar.

Experience:
  • 5+ years of relevant legal experience.
  • Experience with Ironclad or other contract management software is highly desirable.
  • Previous in-house legal experience, particularly in the data center, technology or construction industry, is preferred.

Skills:
  • Strong written and verbal communication skills.
  • Well-rounded corporate and commercial lawyer who is also a practical and business-minded executive.
  • Strong communication, negotiation and legal writing skills. Good interpersonal and management skills.
  • Self-motivated with the ability to operate independently.

  • Travel required is expected to be up to 5% but may increase over time as the business evolves.
