Job Description:
U.S. Bank is seeking an attorney to join the Law Division's Wealth, Corporate, Commercial, and Institutional Banking legal team to support U.S. Bank's Global Fund Services (GFS) business, which provides services to global asset managers including fund administration, accounting, transfer agency, and custody. This role will provide legal advice and interpretation for all areas of the GFS business line, principally covering customer contracts. Additional areas of support may include trusts & estates interpretation, securities regulation, licensing, operations, partner product agreements, and corporate governance.

Primary Responsibilities:
  • Preparing, reviewing, and negotiating customer contracts and other legal documents or requirements with a focus on conforming to regulatory requirements and company policies.
  • Assessing risks and providing advice concerning various issues and agreements arising within key operations of the companies and the corresponding administrative functions.
  • Reviewing and coordinating activities of outside counsel within assigned areas of responsibility.
  • Reviewing documents and electronic discovery in response to third-party subpoenas.
  • Assisting with regulatory and internal reviews, exams, and audits.
  • Assisting with drafting and maintaining policies and procedures.
  • Maintaining current knowledge of applicable federal and state laws and regulations and monitoring regulatory developments to ensure organizational adaptation and compliance.
  • Helping team to properly prioritize our legal advisory responsibilities, and then be effective, efficient and practical in accomplishing them.

Additional responsibilities may include
  • Providing support for transfer agency activities including reviewing and advising on account processing and contested claims related to an account.
  • Reviewing and interpreting trust & estate documents and providing guidance on account distributions.
  • Providing corporate governance support for global entities engaged in GFS activities.
  • Providing training to company employees on legal requirements for conducting the GFS business.

Basic Qualifications:
Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority

Preferred Skills/Experience:
  • Three or more years of law firm or in-house experience as a practicing lawyer
  • Experience with contract drafting, review and negotiation
  • Strong analytical skills
  • The ability to work independently
  • Comfort with and interest in working on a variety of legal matters
  • Excellent written, oral, and interpersonal communication skills
  • Strong commitment to client service
  • Securities regulatory experience helpful
  • Familiarity with trusts & estates helpful
  • Understanding of tax aspects of investment and retirement accounts a plus

Location expectations
The role offers a hybrid/flexible schedule, which means there's an in-office expectation of three (3) or more days per week.

The salary range reflects figures based on the primary location, which is listed first. The actual range for the role may differ based on the location of the role. In addition to salary, U.S. Bank offers a comprehensive benefits package, including incentive and recognition programs, equity stock purchase 401(k) contribution and pension (all benefits are subject to eligibility requirements). Pay Range: $119,765.00 - $140,900.00
