Join Aprio's Legal team and you will help clients maximize their opportunities. Aprio is a progressive, fast-growing firm looking for a Corporate Attorney to join their dynamic team.

We are seeking a highly skilled Corporate Attorney with a minimum of five (5) years of experience in business transactions. The ideal candidate will have a proven track record in assisting clients with forming business entities, advising on corporate structures and restructuring, drafting corporate governance documents, drafting other transactional documents including partnership agreements, operating agreements, shareholder agreements, and providing legal counsel on M&A related matters.
Transactional Matters:
  • Advise clients on structuring, negotiating, and executing a wide range of business transactions, including mergers, acquisitions, divestitures, joint ventures, and reorganizations.
  • Conduct legal due diligence, risk assessment, and manage all aspects of transactional deals from inception through closing.

Entity Formation & Governance:

  • Form and organize various business entities (LLCs, corporations, partnerships) and draft foundational documents such as operating agreements, bylaws, and shareholder agreements.
  • Prepare board resolutions, maintain corporate records, and advise directors and officers on fiduciary duties and governance best practices.

Mergers & Acquisitions:

  • Draft, review, and negotiate contracts, confidentiality agreements, and acquisition agreements.
  • Coordinate legal processes for M&A transactions, including obtaining necessary approvals and ensuring compliance with antitrust, securities, and corporate governance laws.

General counsel:
  • Provide ongoing legal advice on regulatory compliance, risk management, and business strategy.
  • Supervise outside counsel as needed and collaborate with internal teams to support business operations.

Qualifications:
  • Juris Doctor (JD) from an accredited law school; active bar membership in good standing.
  • Active license and in good standing to practice law in the United States.
  • Minimum of 5 years' experience in corporate transactional law, with direct involvement in entity formation, governance, and M&A.
  • Strong drafting, negotiation, and analytical skills; attention to detail is essential.
  • Demonstrated ability to manage complex transactions and work collaboratively with clients, colleagues, and external advisors.
  • Experience advising public and private companies, boards of directors, and financial sponsors is preferred.

Preferred Skills:
  • Familiarity with securities law, regulatory filings, and compliance matters.
  • Ability to lead closings and handle diligence for deals.
  • Experience coordinating with other professional advisors including tax specialists, valuation experts, and accounting professionals.
  • Excellent written and verbal communication skills.
  • Business acumen and strategic thinking.

$150,000 - $175,000 a year

The salary range for this opportunity is stated above. As such, an actual salary may fall closer to one or the other end of the range, and in certain circumstances, may wind up being outside of the listed salary range.
