Davis Wright Tremaine LLP is seeking junior and midlevel associates to join our Corporate practice in our Seattle, San Francisco, or Portland offices. These associates will work closely with partners, associates and counsel across the corporate group to support a growing practice representing strategic private company buyers and sellers, private equity, venture capital and other investors, and emerging companies and founders on a variety of corporate matters, including mergers and acquisitions (M&A), emerging company and venture capital transactions (ECVC) transactional matters, and corporate governance and counseling.This role offers the opportunity to work on sophisticated transactions across the middle market, technology and startup ecosystems while developing strong client relationships and taking on meaningful responsibility on deal teams.
Responsibilities:
- Advise private companies, private equity sponsors and other investors on middle-market mergers and acquisitions, including platform acquisitions, sale processes, add-on acquisitions, joint ventures, and other strategic transactions.
- Advise private companies and their boards of directors and private equity portfolio companies on corporate governance and counseling.
- Advise emerging growth companies and founders on corporate governance, entity formation, and day-to-day legal matters throughout the company lifecycle.
- Advise emerging growth companies and venture capital funds on venture financings, including seed, Series A, and later-stage equity financings.
- Assist with transaction structuring, due diligence, negotiation, and closing processes.
- Draft and negotiate transaction documents, including financing documents, purchase agreements, governance materials, disclosure schedules, ancillary agreements, and closing documentation.
- Coordinate and manage due diligence review and workstreams across deal teams.
- Work closely with management teams, sponsors, investors and founders to manage deal timelines and deliverables.
- Collaborate with attorneys across the firm in related practice areas, including technology transactions, tax, employee benefits, employment, intellectual property, privacy and security, environmental and real estate.
Qualifications:
- 1–5 years of experience in corporate transactional work at a law firm.
- Experience with mergers and acquisitions, venture financings, emerging companies, and general corporate matters preferred.
- Strong drafting, negotiation, analytical, and organizational skills.
- Ability to manage multiple matters and workstreams in a fast-paced, team-oriented environment.
- Demonstrated interest in transactional practice and advising private companies, investors and founders.
- J.D. from an accredited law school and admission (or eligibility for admission) in the state where the position is based.
