What we do:
TKD's Benelux Practice advises mainly Dutch, Belgian and Luxembourg companies, investors, entrepreneurs, and individuals on their U.S. legal needs. The group provides strategic, transactional, and non-transaction counsel across the full lifecycle of a client's U.S. presence, from market entry and investment through growth, workforce management, restructuring, and exit. Our attorneys combine deep knowledge of U.S. law with a strong understanding of international business dynamics, allowing us to deliver practical, integrated legal solutions aligned with our clients' business objectives.
Key areas of focus include:
- U.S. market entry planning and corporate structuring.
- Formation and governance of U.S. entities
- Mergers and acquisitions, including due diligence investigations, transaction documentation preparation and negotiation, and post-closing integration.
- Commercial agreements and cross-border commercial arrangements.
- Ongoing corporate governance, compliance, and corporate counsel matters.
- Coordination with tax, immigration, employment and benefits, real estate, and litigation teams to deliver integrated cross-border solutions.
We have an exciting opportunity for an Associate to join the Benelux Practice, supporting domestic and international clients with integrated corporate, commercial, and transactional and non-transactional cross-border legal needs. The ideal candidate will have 3-12 years (4+ years preferred) of relevant corporate, commercial, and transactional experience.
Essential responsibilities include:
- Drafting and reviewing corporate and commercial agreements.
- Assisting with M&A and other corporate transactions, including due diligence investigations, identification of legal and commercial risks, drafting transaction documentation, and signing/closing actions.
- Advising European clients on U.S. corporate governance and other legal matters.
- Handling stock transfer agreements, joint venture arrangements, corporate reorganizations, and other strategic transactions.
- Reviewing, drafting, and negotiating general terms and conditions of sale, general terms and conditions of use, retail policies, and other B2B and B2C documentation.
- Providing practical legal advice on day-to-day company legal matters, including the sale and purchase of goods and services, employment and contractor relationships, advertising, marketing, online publishing, e-commerce, and privacy and cybersecurity compliance.
- Coordinating with colleagues across practices to deliver integrated advice to Benelux and other multinational clients operating in the U.S.
Qualifications and Skills:
- Candidates must be admitted to practice in New York.
- An entrepreneurial mindset and an interest in cross-border business work are highly valued.
- The ideal candidate will be comfortable managing a diverse range of matters simultaneously, with the ability to shift effectively between transactional work, commercial contracting, corporate governance, and ongoing corporate counsel in a fast-paced practice.
- Candidates should demonstrate strong drafting, analytical, and organizational skills, sound business judgment, and the ability to work effectively with international clients and cross-practice teams.
- Fluency in Dutch is preferred, with additional language skills considered a plus.
- In compliance with federal law, all persons hired will be required to verify identity and eligibility to work in the United States and to complete the required employment eligibility verification form upon hire.
- TKD is currently maintaining a hybrid schedule structured as Tuesdays, Wednesdays, and Thursdays in-office with the option to be remote Mondays and Fridays.
