Summary:Brown Rudnick is seeking a talented mid-level associate, ideally with three to five years of relevant corporate transactional experience to join our U.S. Corporate Practice Group and Emerging Growth Companies & Venture Capital Group in our New York office. The ideal candidate will have significant experience representing emerging growth companies and venture capital investors, including direct experience advising on venture financing transactions. Experience with cap table construction, and SAFE and NVCA financing transactions is essential. Candidates should also have exposure to M&A transactions and general corporate counseling. This role requires associates interested in meaningful client interaction and the opportunity to work closely with founders, management teams, investors, and in-house counsel on a broad range of corporate matters. The successful candidate will take on substantive responsibility early, work directly with experienced partners, and have the opportunity to lead transactions while building strong client relationships.
More broadly, Brown Rudnick's U.S. Corporate Practice Group advises emerging growth and established companies through all stages of the corporate lifecycle, from formation and early-stage financings through liquidity events and strategic transactions. The Emerging Growth Companies & Venture Capital Group regularly represents founders, venture capital funds, and high-growth companies in equity financings, corporate governance matters, and day-to-day business counseling. The practice also advises both privately held and public companies on SEC compliance, Securities Exchange Act reporting obligations, and other corporate and securities matters. Known for its collaborative culture and hands-on approach, the group provides associates with significant client exposure, sophisticated deal experience, and opportunities to develop both legal and business development skills. Qualifications:
- 3 - 5 years of comparable law firm transactional experience focused on advising startup, early stage, and emerging growth companies and venture capital funds.
- Experience with M&A transactions and other strategic corporate matters preferred.
- Have outstanding academic credentials, and excellent written and verbal communication skills.
- J.D. required and must be admitted to the New York bar.
