Job Description:Miles & Stockbridge P.C., a mid-Atlantic based Am Law 200 firm, is seeking an experienced corporate associate to join its premier middle market Corporate and Securities Practice. The position will support principals with significant mergers and acquisitions and outside corporate counsel practices involving a wide array of sophisticated transactions and commercial matters.
Job Requirements:
Candidates must have at least 3+ years of experience in these responsibilities: drafting and negotiating purchase agreements involving mergers and acquisitions; managing transaction teams across multiple disciplines and practices; taking transactions from due diligence, negotiation and documentation through closing; structuring, forming, and capitalizing new business entities and business ventures; and supporting firm corporate clients with regard to their acquisition strategies and other day-to-day legal needs. The candidate should have experience drafting and negotiating general corporate and commercial agreements, including: stock and asset purchase agreements and related transaction documents; operating, limited partnership shareholder, and joint venture agreements. Experience advising clients in connection with corporate governance matters or securities offerings, and related compliance and filings, is a plus.
Candidates should be highly motivated, attentive to detail, capable of working both independently and as part of a larger transaction team and eager to contribute to a fast-paced, premier middle market practice in a congenial culture. This position may be based in any of the Firm's offices. Must be admitted to practice in the jurisdiction of the applicable office, or eligible to waive into such jurisdiction. JD required.
