Armbrust & Brown, PLLC is seeking an experienced Corporate Transactional Attorney to join our Austin office. The ideal candidate will have significant experience advising clients on a broad range of corporate and business transactions and will be comfortable taking meaningful responsibility for matters from initial structuring through closing.

This position offers the opportunity to handle sophisticated transactional work, work directly with clients, and collaborate with experienced attorneys across the Firm's practice areas.

Responsibilities:

Represent clients in a broad range of corporate and business transactions, including mergers and acquisitions, asset and equity purchases and sales, reorganizations, restructurings, joint ventures, and other strategic transactions.
Draft, review, and negotiate asset purchase agreements, stock and equity purchase agreements, partnership and company agreements, operating agreements, shareholder agreements, and other business and transactional documents.
Advise clients regarding entity formation, capitalization, ownership structures, corporate governance, and ongoing entity matters.
Counsel clients on sophisticated business transactions, including entity formations, restructurings, acquisitions, dispositions, and other complex business arrangements.
Represent buyers and sellers in acquisition transactions from initial structuring and due diligence through negotiation, documentation, and closing.
Conduct and oversee legal due diligence in connection with acquisitions, dispositions, investments, and other transactions.
Advise clients regarding debt and equity financing, securities law considerations, and related corporate matters.
Prepare board, shareholder, member, and partner consents, resolutions, and other governance documentation.
Coordinate with clients, opposing counsel, lenders, accountants, tax advisors, investment bankers, and other professionals to successfully complete transactions.
Provide practical and strategic advice regarding day-to-day business matters and develop strong, long-term client relationships.
Assist in supervising and mentoring junior attorneys and legal professionals, as appropriate.

Qualifications:
Qualifications

J.D. from an accredited law school.
Active membership in the State Bar of Texas and in good standing.
4+ years of relevant corporate and transactional experience, preferably with significant responsibility for sophisticated business transactions.
Strong experience with entity formation, corporate governance, mergers and acquisitions, and general business transactions.
Experience with sophisticated business restructurings, tax-driven transactions, or complex entity transactions is a plus.
Excellent drafting, negotiation, analytical, and communication skills.
Strong attention to detail and the ability to manage multiple matters and competing deadlines.
Sound judgment and the ability to work directly and confidently with clients.
Ability to work independently while also collaborating effectively with attorneys across multiple practice areas.
A proactive, practical, and business-minded approach to problem solving.
