Responsibilities:
  • Draft, review and negotiate complex commercial and project agreements, including EPC and construction agreements, equipment supply agreements, purchase orders, services agreements, leases, operations and maintenance agreements, and related project documents.
  • Advise clients regarding project development, procurement, performance security, warranties, indemnities, limitations of liability, insurance, liens, change management, delay and performance remedies.
  • Coordinate transaction processes, including due diligence, document management, execution and closing requirements.
  • Work closely with clients' legal, commercial, engineering, procurement and project-management teams.
  • Provide practical, business-oriented advice regarding contract administration, emerging project issues and potential disputes.

Qualifications:
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Four to six years of relevant experience at a law firm, in-house legal department or a combination of both.
  • Strong commercial drafting, analytical and negotiation skills.
  • Experience with construction, project development, energy, infrastructure, equipment procurement or other complex commercial transactions.
  • Ability to understand technical and operational issues and translate them into clear contractual requirements.
  • Sound judgment and the ability to identify material legal and commercial risks without losing sight of the client's business objectives.
  • Strong organizational skills and the ability to manage multiple active matters and deadlines.
  • Excellent written and oral communication skills.
  • A proactive, collaborative approach and comfort working directly with clients and counterparties.

We are particularly interested in candidates who enjoy taking ownership of matters, working closely with clients and developing a broad commercial practice rather than focusing on a single narrow type of transaction.

We have a strong preference for the candidate to be based in either our Austin or Houston office location. Bar admission is required in an attorney's resident and/or affiliated office.

The salary range displayed is specifically for those potential hires who will work or reside in Texas if selected for the role. Any offered salary is determined based on internal equity, internal salary ranges, market data/ranges, applicant's skills and prior relevant experience, certain degrees, and certifications (e.g., JD/technology) for example.
