Our practice focuses on M&A, commercial transactions, data privacy and security, regulatory matters, and corporate governance for closely held and middle‑market businesses, as well as national and multinational companies.

Hybrid work model and hours
Attorneys currently work remotely on Monday, Tuesday, and Friday, and are in‑office on Wednesday and Thursday. This schedule is subject to client and practice needs but reflects our default hybrid model. Work is deal‑driven and can be demanding at peak times, but we strive for reasonable, sustainable hours and clear expectations around deadlines and responsiveness.

Responsibilities:
Serve as lead or day‑to‑day running attorney on M&A and other complex corporate and commercial transactions, including supervising mid‑level and junior attorneys and staff.
  • Draft, revise, and negotiate key transaction and commercial documents, including:
  • Supply agreements and contracts for the sale of critical goods and services
  • Joint venture, teaming, and strategic alliance agreements
  • Standard contract terms and conditions
  • License and technology agreements
  • Shareholders', operating, and partnership agreements
  • Distribution and reseller agreements
  • Advise clients on data privacy and security considerations and related regulatory issues in connection with corporate and commercial transactions.
  • Counsel closely held businesses and their owners on governance, shareholder/member relations, and general corporate matters.
  • Manage due diligence, structure transactions, and coordinate closing and post‑closing matters with minimal partner supervision.
  • Communicate directly with clients, opposing counsel, and other deal professionals, providing practical, business‑oriented advice.

Requirements and Qualifications:
  • 7–10 years of experience in commercial and corporate transactions at a law firm or sophisticated in‑house environment, with progressively increasing responsibility.
  • Prior mergers and acquisitions (buy‑side and/or sell‑side) experience strongly preferred.
  • Demonstrated ability to manage complex transactions and lead deal teams, while mentoring and developing junior lawyers.
  • Excellent analytical, drafting, and communication skills, with a focus on clear, concise, and practical advice.
  • Ability to thrive in a collaborative environment and to take ownership of matters from initial structuring through closing and post‑closing.
  • Admission to the New York Bar, in good standing. additional admissions are a plus.
  • Strong academic background; top‑tier law school or equivalent strong credentials preferred.

Compensation is competitive with Long Island‑based boutique firms and includes a discretionary bonus based on individual and firm performance.

Pay: $175,000.00 - $225,000.00 per year
