Job Summary:
The Corporate Counsel will report to the General Counsel and be an integral member of the legal team providing support to A Aircraft Ground Handling and Corporate Flight Support Services Company operations, human resources, risk and business development teams. You will experience working collaboratively and cross-functionally with your business clients, governmental authorities, and customers of the company and manage outside counsel in providing sound business judgment to solve the needs of the business. You will advise business teams on various legal risks and business strategies related to general operations, structure, negotiate and review a broad range of agreements including complex commercial and real estate transactions with customers and regulatory authorities and support legal efforts related to M&A.

This position resides in Plano, TX at the corporate office.

We operate in a highly service oriented and collegial environment. Everyone rolls up their sleeves to do operational work every day. For an attorney this means working with the General Managers and Senior Leadership in the field and Corporate Executives who are not legal experts and rely on the legal team to guide and direct all aspects of getting contracts and agreements drafted and fully executed. With the small legal team of two attorneys, two paralegals, and a General Counsel, it is important to understand this is not an officer-track role. However, this will be an amazing opportunity for someone who wants to have direct and meaningful impact working with the business every day where your deep legal expertise will be valuable, appreciated and sought out while offering a healthy work-life harmony. This role will require a high degree of independence and ability to lead and collaborate with outside counsel to negotiate complex real estate transactions and resolve critical operational questions with minimum direction from leadership and the General Counsel. It is important for the candidate to be able to manage their own role end-to-end in an organization where you will be looked to for guidance and expertise.

Job Responsibilities:
Essential duties and responsibilities include (but not limited to):
  • Provide accurate and timely legal advice on all aspects of Company's business in a professional manner to a diverse, cross-functional group of internal clients.
  • Advise the operations team and field leadership on contract and customer disputes, regulatory inquiries, collection and lien inquiries and litigation defense and prosecution.
  • Collaborate with HR and operations team to advise on employment and employee relations matters.
  • Draft, negotiate and review numerous types of complex real estate agreements, including leases, customer sub-leases, complex fuel and operational agreements and various other contracts in connection with the company's activities.
  • Assist with the due diligence investigation of proposed acquisitions and RFPs to identify legal issues and compliance risks.
  • Keep the company abreast of applicable changing laws and regulations
  • Manage outside legal counsel, as required, in the most cost-effective manner.
  • Supervise corporate paralegals in their review of real estate leases and other agreements and support of business operations and the management of high value lease agreements.
  • Assist the General Counsel in managing and responding to the legal needs of the business

Required Skills & Qualifications:
  • 5+ years of combined relevant legal experience with an established law firm or sophisticated in-house legal department
  • Doctor of Jurisprudence (J.D.) from a top national law school with high academic achievement
  • Licensed to practice law in at least one jurisdiction.
  • Strong experience in general corporate law including managing customer contract interpretation and litigation, advising business partners on operational considerations involving lease terms and advising on human resources and employee relations matters.
  • Experience drafting and negotiating complex real estate and commercial contracts.
  • Strong ethical standards and high emotional intelligence
  • Ability to think strategically and to appreciate the business impacts of different legal courses of action.
  • Excellent writing, analytical and communication skills
  • Ability and desire to work both collaboratively and autonomously.
  • Exceptional interpersonal and organizational skills; must be able to interact with, and inspire confidence in, individuals at all levels of the organization.
