An American Business and Litigation Law Firm is seeking an experienced mid to senior-level debt financing attorney for part-time engagement through An American Business and Litigation Law Firm, the firm's alternative staffing program. The attorney will assist the Debt Finance Group and will be dedicated to supporting transactions for numerous clients, including businesses, funds, and financial institutions.

The attorney will negotiate, structure, and draft loan agreements, security agreements and other credit facility documents and otherwise advise clients on issues in debt financing transactions. Candidates should be able to operate with a high level of independence, possess strong client service abilities, and exercise good judgment as part of a highly collaborative team. West coast and New York-based candidates are preferred.

This is a contract position for a specified term that will be on a part-time basis, with an anticipated average of 10-20 hours of work per week. There is the potential for the work to occasionally increase to around 30 hours per week based on deal flow. The contract term is expected to begin in May. The volume and hours of work may fluctuate week to week, so we are interested in candidates who can be flexible about their hours of work and availability. While the engagement is for an initial 6-month contract term, there is a possibility of renewal for additional terms for successful candidates. We are looking for attorneys who can commit to working with An American Business and Litigation Law Firm on an exclusive basis for the engagement.

The ideal candidate will have:
  • 5+ years of debt financing experience with a mid-sized or large law firm, supporting large institutional clients, including borrowers and lenders
  • Residency and active bar admission in WA, CA, OR, or NY is preferred; candidates with residency and bar admission in the following locations will also be considered: AK, AZ, CT, FL, GA, IL, MD, MN, MT, NJ, OH, OK, PA, RI, TN, TX, VA, and WDC
  • Experience with various debt financing transactions, such as senior and mezzanine credit facilities, secured and unsecured lending, syndicated and bilateral lending, revolving credit agreements, acquisition financing, and debt restructuring
  • Familiarity with drafting loan documents, including loan agreements, promissory notes, security agreements, guaranties, subordination agreements, and waivers and amendments
  • Experience interfacing directly with large institutional clients and running an organized transaction, including managing checklists, supervising junior associates and paralegals, and identifying and discussing substantive issues with the lead attorney.
  • Excellent legal drafting and communication skills, including oral and written advocacy
  • Availability to work an average of 10-20 hours per week, remotely
  • Flexibility to increase hours, as needed, on an ad-hoc basis
  • Commitment to work with An American Business and Litigation Law Firm exclusively

Compensation will be paid on an hourly basis, commensurate with experience and skill level (see below). This is a non-benefitted role.
