Orrick's Compensation & Benefits practice is seeking a mid-level compensation and benefits associate with 4 to 5 years of experience focused on executive and equity compensation, including in connection with strategic and private equity M&A transactions as well as day-to-day advice and counseling.
We are ideally seeking candidates with experience and/or a desire to work with growth-stage technology and life sciences companies and investors; experience advising on qualified retirement plans, ESOPs, and health and welfare plans is a plus but not required.
Our Compensation & Benefits group advises clients on a wide range of compensation and benefits matters impacting both public companies and innovative high-growth businesses and their investors. We are recognized for our single-point-of-contact approach, proactive counsel, and seamless collaboration with client teams.
Responsibilities:
- Evaluating and resolving executive pay and benefits considerations that emerge during mergers and acquisitions, private equity transactions, and other corporate deals.
- Drafting and advising on the design of equity and cash incentive plans and executive employment agreements.
- Drafting SEC-required compensation and benefits disclosures for securities filings.
Candidates must be highly motivated and possess excellent academic credentials, superior oral and written communication skills, strong logical reasoning, research, and organizational skills.
Qualifications:
- 4–5 years of experience with a peer law firm in executive compensation and benefits
- Strong academic credentials
- Strong verbal and written communication and interpersonal skills
- Ability to collaborate effectively within a team environment while also taking ownership of significant individual responsibilities
- Admission to the State Bar of the office of the state in which the candidate expects to be located is required.
