Type: Contract / Per-Project (1099)

Overview:
Established business and commercial law practice seeks an experienced Commercial Transaction & Business Law attorney admitted in New York and/or New Jersey to assist on a per-project basis. This role is intended for a self-sufficient transactional attorney who can step in, handle assignments independently, and deliver polished, client-ready work.

Scope of Work:
Projects may include:
  • Drafting, revising, and negotiating commercial agreements (MSAs, NDAs, vendor agreements, SaaS, licensing, service agreements)
  • Business formation and governance documents (LLCs, corporations, operating agreements, shareholder agreements)
  • Contract review, issue-spotting, and risk analysis for business clients
  • Contract clean-up and revisions of existing agreements

Requirements (Strict)

  • Admitted and in good standing in New York and/or New Jersey (required)
  • 5+ years of substantial experience in commercial transactions and business law
  • Strong drafting, editing, and issue-spotting skills
  • Ability to work independently with minimal supervision
  • Experience with small to mid-size business clients preferred
  • Reliable, deadline-driven, and responsive

  • Transactional work only (no litigation)
  • Not an entry-level or training role
  • Not associate staffing
  • Work is assigned per project, with defined scope and deadlines
