Description:

About the role:
Armada is hiring an early career Commercial Counsel who wants to own deals, not just review them. You'll be an early hire on a small legal team, working alongside two senior attorneys and reporting directly to the Head of Legal.

This role supports Armada's commercial growth by drafting and negotiating our customer and procurement agreements, and by partnering closely with GTM, Deal Desk, Engineering, Product, and the rest of the business to keep deals moving while managing risk. You'll get hands-on transactional experience in a fast-moving AI infrastructure, hardware, and software business.

Location. This role is remote-based in the continental US, with a strong preference for candidates in the Eastern or Central time zones.

What You'll Do:
  • Draft, review, and negotiate commercial agreements including NDAs, MSAs, order forms, vendor agreements, reseller and partner agreements, and public sector contracts
  • Manage a steady volume of deals independently, with review at key decision points, escalating matters to our Senior Counsels as necessary
  • Serve as a day-to-day legal partner to the organization, balancing risk against business objectives
  • Apply and maintain Armada's contract templates and negotiation playbooks, and recommend improvements where you see recurring friction
  • Research and apply evolving legal and regulatory frameworks across AI, hardware, data privacy, and government contracting, escalating where interpretation is unsettled
  • Support international transactions and cross-border data issues in coordination with senior counsel
  • Support hardware sales and as-a-service deals
  • Coordinate with outside counsel on assigned matters, including scoping requests, tracking progress, and summarizing outcomes for internal stakeholders
  • Build strong working relationships across functions and adapt communication style for non-legal audiences
  • Maintain accurate contract records in our CLM and support reporting on deal cycle times and recurring negotiation issues

What you bring:
  • JD from an accredited law school and active membership in good standing with at least one US state bar
  • 3+ years of combined law firm and in-house experience supporting commercial transactions
  • 2+ years of in-house experience at a B2B technology company, such as software, hardware, AI, or infrastructure
  • Demonstrated ability to run commercial negotiations independently and close on schedule
  • Sound legal judgment paired with practical business sense
  • Excellent written and verbal communication and stakeholder management skills

Nice to Have:
  • Exposure to public sector or government contracting
  • Familiarity with AI, GPUaaS, hardware, or data center infrastructure
  • Experience with direct or indirect procurement, supply chain, or logistics contracts
  • Experience with export controls (EAR/ITAR) or international commercial transactions
  • Experience with a CLM platform such as Ironclad
  • Experience in a fast-paced, early-stage or high-growth environment
  • Experience or interest in legal operations, such as building intake workflows, playbooks, templates, or AI agents and tools that can help a small team scale
